Overview

Aleksandra Rajek focuses her practice on corporate and contract law matters, in particular for the purposes of mergers and acquisitions. She has advised venture capital funds on their investment in companies at various stages of growth and provides support in the transformation of companies, as well as regulatory and corporate governance issues.

Aleksandra has provided corporate law advice in connection with mergers and acquisitions, venture capital and other financing transactions. Her experience includes the preparation of corporate governance and transaction documentation and due diligence reviews.

Prior to joining White & Case, Aleksandra gained experience in one of the leading international law firms in Warsaw and business divisions of companies operating in the IT and petrol sectors.

Experience

Zowie Inc.: Representation of the Polish founders operating through a Polish company to raise financing in the USA. In addition to Inovo Venture Partners, the funding round featured a group of Polish and Israeli angel investors. Zowie's flagship product analyzes historical and live conversations to generate ready-to-use chat and email automation. Currently, the company supports Zendesk, LiveChat, Intercom, Facebook Messenger, WhatsApp, and Shopify.

Pitango Growth and Evli Growth Partners: representation of Israel-based Pitango Growth and Finnish Evli Growth Partners, as lead investors, in connection with Tylko's Series C funding round, one of the largest recent financings of its kind in Poland. Created in 2015, Tylko is a Polish digital-first furniture company which serves almost 60,000 customers via an online-only, direct-to-consumer, made-to-order approach.

Xenon Investment Fund 4: representation of Xenon Investment Fund 4 in connection with the acquisition of 100% of the shares of UXPin Inc., from the existing stockholders. White & Case conducted the Polish part of the due diligence and covered all the Polish elements of the transaction.

Inovo Venture Partners: representation of Inovo Venture Partners in the investment in the US vehicle of the Polish founders operating through a Polish-based company. Spacelift developed a Terraform-compatible platform for infra-as-code, which enables collaboration among development teams, ensures control and compliance, and allows teams to fine-tune and automate their workflows.

ORLEN Group: representation of the ORLEN Group in connection with the incorporation and establishment of a Polish CVC fund aimed at the execution of venture capital transactions and investments in innovative solutions in Poland and abroad.

AI Clearing Inc.: representation of AI Clearing Inc., a construction tech startup based in Texas, on a new round of seed funding to accelerate the development of its artificial intelligence solution for monitoring the progress of construction projects, which is already being used by North American and European contractors.

Norddeutsche Landesbank and EKF Denmark's Export Agency: representation of Norddeutsche Landesbank and EKF Denmark's Export Agency in connection with the Polish law aspects of granting a loan to Janikowo GP GmbH sp. k. for financing construction of the wind farm "Park Wiatrowy Janikowo" near Inowrocław, Poland, comprising 30 turbines with a total capacity of 60 MW.
