Biography

Overview

Andrea is an associate in our London office private equity team and focuses on private equity acquisitions and equity investments. She has experience in a broad range of corporate transactions, including private equity, international M&A, joint ventures and corporate reorganisations.

Andrea joined the private equity team in June 2017 having trained at White & Case. Andrea has recently completed a secondment to the Firm's Corporate M&A team in Dubai, and has previously spent 6 months in the Firm's Hong Kong office.

Representative transactions include advising:

Representation of Alkhabeer Capital in connection with its acquisition of a 100% equity interest in Gulf Packaging Industry LLC, a Dubai-based packaging business that has been operating in the UAE since the 1970s.

CI Capital Holding for Financial Investments, Egypt’s leading diversified financial services and investment group, on the indirect acquisition with a group of co-investors of a 60 percent interest in Taaleem Management Services Company SAE, a leading higher education platform in Egypt which controls and operates Nahda University in Beni Suef for a total consideration of EGP 1.2 billion (circa GBP 60 million).

The shareholders of Ma'arif Holding Company for Education and Training (the largest owner and operator of private schools in Saudi Arabia) in relation to the sale of 100% of their shareholding to GEMS Education and Hassana Investment Company.

CI Capital Holding S.A.E, one of Egypt's leading financial services groups, in relation to its purchase of the majority of shares of Sphinx B.V., a Dutch Holdco holding indirectly Al Nahda University in Egypt, from Thebes Educational Management Holding B.V., another Dutch Holdco controlled by Abraaj.

The Industrialization and Energy Services Company (TAQA) on its US$415m acquisition of drilling rigs and related assets from Schlumberger in Kuwait, Oman, Iraq and Pakistan.

A15, a leading tech investment fund, on its sale of a 76% stake in its United Arab Emirates-based fintech company TPAY Mobile FZ-LLC (TPAY) to Africa's leading private investment firm Helios Investment Partners.

The acquisition by Arjun Infrastructure Partners (an existing 45% shareholder of Welcome Break (the motorway services provider)) of a c8.6% additional stake in Welcome Break from Applegreen PLC to be co-shareholder with NIBC.

IFM Investors on its agreement to acquire a 40% stake in Mersin International Port from the Akfen Group and associated shareholder arrangements between IFM, Akfen and PSA.

The Seadrill group, once the world's largest drilling rig operator by market value, during its U.S. Chapter 11 bankruptcy process in relation to its corporate restructuring process, and supporting the negotiation of a US$1bn investment agreement with John Fredriksen's Hemen and new money investor Centerbridge Partners.

Blue Water Energy LLP, a private equity house focused on investments in the energy sector, on its investment in Galileo Global Technologies Limited, a management buy-out vehicle purchasing the Galileo Group (producer of LNG technologies in Argentina).

Keter Group on the acquisition by BC Partners Limited and the Public Sector Pension Investment Board of a majority stake in the group from the Sagol family.

Lightsource Renewable Energy Investments Limited, Europe's largest solar development company, on its sale of a stake to BP.
