Camille Note is counsel in the Corporate/Mergers & Acquisitions department of White & Case in Paris. She concentrates in mergers and acquisitions as well as capital markets.

Ms. Note advises French companies and both French and foreign financial investors on acquisitions, restructurings and share transfers. She has advised private equity funds such as BC Partners, Nordic Capital, Hgcapital, IK Investment Partners, Emerging Capital Partners (ECP) or Gilde in their leveraged buy-out transactions with regards to financial, fiscal and legal engineering. She has extensive experience in the areas of leveraged buyout transactions, venture capital and restructuring regarding corporate (including in the context of conciliation, safeguard or other insolvency proceedings).

Ms. Note also assists both French and foreign issuers as well as investors with respect to their obligations under the French securities laws and regulations in connection with takeovers, initial public offerings, acquisition of stakes, issuing of equity and debt securities, mandatory disclosures.

Boussard & Gavaudan acquisition of a stake in FUTUREN, 2016

Representation of Boussard & Gavaudan, in the execution of a shareholder agreement resulting in a change of control over FUTUREN and the filing of a project, of simplified mandatory public offer, on FUTUREN shares at a price of €0.70 per share and on FUTUREN convertible bonds at a price of €8.30 per convertible bond; and  in the acquisition of a 51% equity and voting rights stake of Gfi Informatique by Mannai Corporation, together with Apax France (jointly with Altamir). The price values Gfi at some €561 million.

Sale of stake in Cegereal, 2016

Representation of Cegereal , a commercial property company that invests in prime office properties in greater Paris, in the sale of the 59.78% stake held by Commerz Real in Cegereal. and in the subsequent public tender offer.

Labeyrie acquisition of Aqualande, 2016

Advising Labeyrie Fine Food, the food-processing industry Group controlled by Lur Berri and LBO France, in connection with the acquisition of a controlling interest in group Aqualande, a French leader in aquaculture.

Nestlé sale of Pet care business, 2015

Representation of Nestlé , the world's leading nutrition, health and wellness company, headquartered in Switzerland, on the sale of its pet care accessories and rawhides business in France, Italy and Spain, to Bob Martin, the UK's leading brand name for pet healthcare.

Representation of Emerging Capital Partners, 2015

Representation of Emerging Capital Partners (ECP), an international private equity firm focused on investing in Africa: in the sale of its 26% interest in la Nouvelle Societé Interafricaine d'Assurance Participations  (NSIA), the leading insurance group in French-speaking west and central Africa; in the discussion with AXA in the negotiation of a shareholders agreement relating to Eranove.

Essex Woodlands, 2015

Advised Essex Woodlands on the acquisition of the EUSA Pharma brand and the business related to certain pharmaceutical assets from Jazz Pharmaceuticals PLC.

US$188 million Cnova's IPO on NASDAQ, 2014

Advising Cnova NV and its parent company Groupe Casino with the reorganization and spin-off of Casino's eCommerce businesses by means of a $188 million IPO on NASDAQ in November 2014. As a result of the transaction, the newly formed Cnova has become one of the world's largest pure play eCommerce companies.
