Representation of Blantyre Capital Limited, a special situations investment firm, on its acquisition of a majority stake in the Spanish transport group ESP Solutions, specialized in the refrigerated transport industry in Spain
Banco Nacional de Obras y Servicios Públicos (Banobras), as lender, and Banco Nacional de Obras y Servicios Públicos, as Trustee in the Public Trust Number 1936 "Fondo Nacional de Infraestructura" (National Infrastructure Fund - FONADIN), as guarantor, in connection with the restructuring of the project by Ferrocarriles Suburbanos for the provision of the Public Passenger Rail Transport Service in the modality of regular suburban transportation on the Cuautitlan-Buenavista Route of the Valley of Mexico. The restructuring of approximately MXN 3.5 billion involved Banobras' acquisition of the participation in the existing syndicated loan by seven European banks; Banco Santander, BBVA, Caixabank, Crédit Agricole, Société Générale, Instituto de Crédito Oficial and Kutxabank.
Representation of a Belgian company in a commercial arbitration in the Madrid Court of Arbitration against a Spanish company on the basis of a Share Purchase Agreement.
Representation of Enel Group in connection with a US$4 billion issuance of Yankee bonds. The issuance consists of US$1 billion 7.100% notes due 2027, issued by Enel Finance America LLC and US$750 million 6.800% notes due 2025, US$1.250 billion 7.500% notes due 2032 and US$1 billion 7.750% notes due 2052, all issued by Enel Finance International NV, all issued pursuant to Rule 144A and Regulation S under the U.S. Securities Act.
