Biography

Johanna Hayward is counsel in the Project Development and Finance Group in London. She has extensive experience advising lenders (including commercial banks, development banks and export credit agencies), sponsors and the public sector in domestic and international projects, focusing chiefly on reserves based lending, project finance, export finance and other structured credit transactions.

Experience

Representation of the financiers on a landmark US$20 billion project financing of Mozambique's first onshore LNG development, Mozambique LNG. This is the largest ever foreign direct investment into Africa. Awarded "Global Multilateral Deal of the Year" at the PFI Awards 2020.

Representation of Seplat Energy Plc, a leading Nigerian energy company listed on the Nigerian Exchange and the London Stock Exchange, on the US$1.283 billion to US$1.583 billion acquisition of the entire offshore shallow water business of Exxon Mobil Corporation in Nigeria.

Representation of the mandated lead arrangers on the US$700 million refinancing and expansion of the RBL facility to Trident Energy, relating to borrowing base assets located in Equatorial Guinea, The Republic of Congo, Cameroon and Brazil.

Representation of the lenders on bifurcated stapled financings for the acquisition of Shell’s onshore and shallow water assets in Nigeria by a consortium of five Nigerian Oil & Gas companies.

Representation of the lenders on term and revolving credit facilities to Nigeria LNG Limited (NLNG), a joint venture owned by Nigerian National Petroleum Corporation (NNPC), Shell, Total and Eni to develop the NLNG Train 7 Project.

Representation of the mandated lead arrangers in connection with an up to US$2 billion reserves based lending facility to Prime Oil & Gas B.V. for the development and exploitation of offshore oil fields in Nigeria, including multiple refinancings of the senior facility and the introduction of a junior PXF facility.

Representation of the financiers on a syndicated facility agreement to Karoon Energy Limited in respect of its acquisition of assets in the US Gulf of Mexico.

Representation of the export credit agencies and commercial banks in relation to the sovereign guarantee backed loans to Uzbekistan GTL LLC.

Representation of Natixis Corporate & Investment Banking and ING Bank N.V., Singapore Branch as mandated lead arrangers, original lenders and hedging providers, on the refinancing of the MEASAT-3b communications satellite.
