Overview

Joseph is counsel in the Firm's Bank Finance Group. His experience includes advising banks, finance companies and investment funds on a wide range of commercial finance transactions, including asset-based and cash flow financings, first lien and second lien financings, first-out/last-out financings, acquisition financings, dividend recapitalizations, debtor-in-possession and exit financings, and out-of-court restructurings and workouts.

Joseph is recognized as a Commercial Lending "Rising Star" in the 2019 edition of US Legal 500.

Experience

Representation of Wells Fargo Bank, National Association, Morgan Stanley Senior Funding, Inc. and several other Lead Arrangers and Lead Banks, in connection with a US$1.5 billion Revolving Loan Credit Facility, a US$2.9 billion Term Loan A Credit Facility and a US$2.0 billion Term Loan B Credit Facility, in each case, used to fund in part the approximately US$15 billion strategic acquisition by Brookfield Property Partners L.P. (a commercial real estate company listed on the NASDAQ) of GGP Inc. (a commercial real estate company listed on the NYSE).

Representation of Jefferies Finance LLC, as Joint Lead Arranger, Joint Bookrunner, First Lien Administrative Agent and Second Lien Administrative Agent, in each case, in connection with a (i) senior secured first lien term loan facility in an aggregate principal amount of US$575.0 million, (ii) senior secured first lien delayed draw term loan facility in an aggregate principal amount of US$120.0 million, (iii) senior secured first lien revolving credit facility in an aggregate principal amount of US$60.0 million, (iv) senior secured second lien term loan facility in an aggregate principal amount of US$215.0 million and (v) senior secured second lien delayed draw term loan facility in an aggregate principal amount of US$40.0 million, in each case, for Access CIG, LLC.

Representation of Jefferies Finance LLC, as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with the refinancing of ABILITY Network Inc.'s existing credit facilities. The financing consisted of a first lien term loan facility in an aggregate principal amount of US$375.0 million, a first lien revolving credit facility in an aggregate principal amount of US$20.0 million and a second lien term loan facility in an aggregate principal amount of US$150.0 million. ABILITY Network Inc. is a leading healthcare technology company that provides a broad suite of innovative workflow tools to help manage the administrative complexities of healthcare.

Representation of Macquarie Capital Funding LLC in connection with First Lien and Second Lien Term Loan and Revolver Credit Facilities in an aggregate principal amount of $350.0 million used to fund the acquisition of Corsair Components Inc. (a leading provider of enthusiast-grade PC components and peripherals) by EagleTree.

Representation of Deutsche Bank Securities Inc., as sole Lead Arranger and Bookrunner, and Deutsche Bank AG New York Branch, as Administrative Agent, in each case, with respect to a new US$50 million asset-backed revolving credit facility to certain affiliates of Cumulus Media, Inc. (a radio broadcasting company listed on NASDAQ), which facility was made available for working capital and general corporate purposes.
