Overview

Katarzyna Jakubiak focuses her practice on debt finance transactions. She has advised on finance transactions concluded in various sectors of the economy, including bilateral and syndicated term and revolving loan facilities, project finance, structured finance, and acquisition and corporate financing. Katarzyna represents both financial institutions and borrowers.

Prior to joining White & Case, Katarzyna worked for the Warsaw office of a Magic Circle firm for almost seven years.

Experience

A consortium of financial institutions: representation of a consortium of Polish and international financial institutions in connection with PLN 5 billion financing of the Polimery Police project carried out by Grupa Azoty, consisting of a propane dehydrogenation installation (PDH installation), a polypropylene production installation (PP installation) and an auxiliary installation including storage terminal and logistics and shipment area. It is one of the largest projects ever implemented under the project finance formula in Poland.

A club of lenders: advising Santander Bank Polska S.A. (acting as ESG Agent), PKO Bank Polski S.A., Bank Gospodarstwa Krajowego S.A., CaixaBank S.A. (Spółka Akcyjna) Oddział w Polsce and MUFG Bank (Europe) N.V. in connection with the up to PLN 2 billion revolving credit for Energa S.A.; this was the first financing in Poland and the CEE region made in the ESG-linked form.

A club of lenders: advising as lenders' counsel in connection with project financing for the construction of a new propane dehydrogenation plant (PDH) and a polypropylene production plant (PP).

A club of lenders: advising Santander Bank Polska S.A., BNP Paribas Bank Polska S.A., Bank Polska Kasa Opieki S.A. and Bank Handlowy w Warszawie S.A. acting as the mandated lead arrangers and the lenders in connection with the senior term and revolving facilities agreement for Diagnostyka S.A.

A club of lenders: advising Bank Polska Kasa Opieki S.A. and Santander Bank Polska S.A. in connection with facilities made available to Base Camp (acting through special purpose vehicles) for the financing and refinancing of three Purpose-Built Student Accommodations (PBSA) and one hotel project in Poland: Łódź 1 (refi), Łódź 2 (greenfield), Wrocław PBSA (brownfield) and Wrocław Hotel (brownfield).

A club of lenders: representation of Bank Handlowy w Warszawie S.A., mBank S.A. and Bank Polska Kasa Opieki S.A. in connection with an up to PLN 950 million term facility agreement for a Polish pharmaceutical company to finance the acquisitions and general corporate purposes of the Group.

A club of lenders: representation of a club of lenders in connection with the financing of the acquisition of DCT Gdańsk S.A. by PSA International Ptd Ltd, Polski Fundusz Rozwoju (Polish Development Fund) and IFM Global Infrastructure Fund. DCT Gdańsk is the biggest container terminal in Poland and the only container terminal on the Baltic Sea that can handle the biggest container vessels (i.e., Ultra Large Container Vessels). 

Bank Gospodarstwa Krajowego: advising BGK in connection with an up to USD 450 million term facility for KGHM Polska Miedź S.A.to finance the general corporate purposes of the borrower.

A consortium of lenders: representation of Bank Polska Kasa Opieki S.A., Bank Gospodarstwa Krajowego S.A. and Powszechna Kasa Oszczędności S.A. in connection with the financing of the Ostrołęka C power station.

A consortium of lenders: representation of Bank Pekao S.A., Credit Agricole Bank Polska S.A., Credit Agricole Corporate and Investment Bank, the EBRD, ING Bank Śląski S.A., PKO BP S.A., PZU S.A., Raiffeisen Bank Polska S.A. and UniCredit AG in connection with the PLN 930 million refinancing of INEA S.A.

A consortium of lenders: representation of Bank Zachodni WBK S.A., Alior Bank S.A., Bank BGŻ BNP Paribas S.A., DNB Bank ASA, DNB Bank Polska S.A., PKO Bank Polski S.A., TFI PZU S.A. and Raiffeisen Bank International AG in relation to the granting of term facilities and revolving facilities of PLN 7 billion to Play Holding 2 S.à r.l. and P4 sp. z o.o. (Play's network operator).
