Maria Cristina Storchi is an Italian qualified lawyer with more than 25 years of experience in the areas of corporate and M&A, private equity, restructuring and capital markets. Her practice focuses on public and private M&A, public tender offers, exchange offers, restructurings, general corporate representation, capital markets matters and privatizations. She has considerable experience advising listed companies on large Italian and cross-border M&A and restructuring transactions.

Financial Restructuring and Insolvency

Biancamano’s restructuring, 2020
Maria Cristina advised a pool of banks in connection with the restructuring of Biancamano S.p.A., a company listed on the Italian Stock Exchange operating in the environmental hygiene sector and the pre insolvency agreement entered into by its wholly owned subsidiary Aimeri Ambiente S.r.l. and the related acquisition by the banks of €200 million of quasi-equity instruments issued by Biancamano S.p.A.  

Salini Impregilo Project Italia, 2019
Maria Cristina advised Intesa Sanpaolo S.p.A. in connection with a €6 billion project launched by Italian listed company Salini Impregilo S.p.A. aimed at strengthening the Italian sector of public works and construction,  as a result of which, inter alia, Salini Impregilo S.p.A. will  acquire a majority stake in Astaldi S.p.A., another Italian listed in the context of its arrangement with creditors (concordato preventivo).

Burgo Group's restructuring, 2019*
Maria Cristina advised Mediobanca - Banca di Credito Finanziario, Banco BPM, Pillarstone Italy SPV, Banca Monte dei Paschi di Siena, Intesa Sanpaolo, S.G.A. S.p.A. - Società per la Gestione di Attività and UniCredit in connection with the negotiation for the refinancing of Burgo Group S.p.A.'s indebtedness.

Victoria acquisition of Ceramiche Ascot, 2020
Maria Cristina advised Victoria PLC, a UK-based multinational company operating in the flooring sector and listed on the London Stock Exchange’s AIM market, in connection with the acquisition of Ceramiche Ascot S.p.A., the second Italian ceramic company to join the group. 

Intesa Sanpaolo S.p.A subscription of €600 million non-divisible share capital increase for the acquisition of Astaldi, 2020
Maria Cristina advised Intesa Sanpaolo S.p.A. in connection with the subscription to a non-divisible share capital increase, to be delegated to the Board of Directors, for a total amount of €600 million, with no pre-emptive subscription rights for existing shareholders, offered to institutional investors including its majority shareholder Salini Costruttori S.p.A., CDP Equity S.p.A. and certain banks including Intesa Sanpaolo S.p.A. aimed, inter alia, at financing the acquisition of Astaldi S.p.A.

Maria Cristina advised a pool of international banks in connection with the €7.1 billion acquisition of Pirelli by ChemChina.

Cerved €713 million financing, 2020
Maria Cristina advised Cerved Group S.p.A., a leading provider of credit risk analysis and the first independent market player in credit management in Italy, in connection with a €713 million term and revolving financing granted by a pool of banks.

Atlantia €16.5 billion financing, 2018*
Maria Cristina advised a consortium of 24 banks in connection with Atlantia S.p.A. financing in relation to the €16.5 billion public tender offer on Abertis S.A.
