Biography

Overview

Noren is a Banking & Finance associate in our Dubai team. She has a wide range of experience, which includes advising sovereigns, corporations and consortiums of lenders on structuring and financing high-profile projects and general banking transactions, including refinancings, export finance facilities, margin loans, general bank lending and asset-based financings, ranging from acquisition to real estate finance (on both a conventional and Shari'ah compliant basis).

Prior to joining White & Case, Noren trained and qualified at another international firm and was based in London and Dubai.

Experience

Representative examples of Noren's experience include:

Conventional Finance

Representation of lenders including Standard Bank, J.P. Morgan and Société Générale in relation to a US$42,000,000 revolving credit facility to Axian Telecom. The facility was guaranteed by various subsidiaries of Axian. The revolving credit facility sits alongside Axian's offering of US$420 million 7.375% Senior Notes due 2027, where we also acted as counsel to J.P. Morgan, Société Générale and Standard Bank as Joint Global Coordinators and Joint Bookrunners.

Representation of a syndicate of lenders in relation to an export credit agency-covered financing to a Telecom company for the supply of 4G and 5G network equipment and associated services in several African jurisdictions.

Representation of one of the largest developers in the Middle East in relation to a secured margin term loan facility used to support the acquisition and take private of one of its subsidiaries.

Representation of Goldman Sachs in connection with a secured leverage facility of up to US$35,000,000 to Sunset Hospitality Group.

Representation of Khalifa Fund for Enterprise Development in connection with a US$30 million loan to National Treasury of Kenya to fund SME businesses with an emphasis on youth and women businesses.

Representation of the book-runners and mandated lead arrangers on a US$1.75bn ESG-linked credit facility to Emirates NBD Bank PJSC (ENBD), involving a syndicate of leading international banks. This was ENBD's debut ESG-linked loan and one of the region's first sustainability-linked loans.*

Islamic Finance

Representation of a syndicate of lenders in connection with SAR 750,000,000 facilities provided to one of the largest construction companies in the Middle East for the purpose of funding the construction of residential units in Riyadh, Kingdom of Saudi Arabia.

Representation of a Saudi based bank in respect of a murabaha facility of up to SAR 675,000,000 to a large corporation in Saudi. The purpose of the facility was to fund one of the corporation's first real estate development located in the heart of Riyadh.

Representation of Jubail Island Investment in connection with a secured ijara facility granted by Abu Dhabi Islamic Bank. The proceeds of the facility are to be used for the development and construction of up to 453 villas and 152 townhouses in relation to Phase 1 of the Jubail Island Project in Abu Dhabi.
