Overview

Paul Alexander is a leading lawyer in the Italian market with significant experience in debt and equity capital markets transactions. Trained in London and qualified under English law, Paul has been based in Milan for a number of years, and his extensive track record representing underwriters and companies in capital markets deals in Italy has given him a deep understanding of the complex issues related to the domestic market.

SECURITIES TRANSACTIONS

Paul has 15 years of experience advising on high profile debt, equity and equity-linked transactions. Paul's practice covers standalone bond issues for investment grade and sub-investment grade issuers, MTN programmes, issues of hybrid securities, liability management exercises, convertible and exchangeable bonds and initial public offerings.

Paul advised the bank syndicate in connection with the €550 million 1.625% senior secured notes due 2028 issued by SIAS S.p.A.. The notes have been issued under SIAS' €2 billion Euro Medium Term Note Programme, listed on the Irish Stock Exchange and offered pursuant to Regulation S under the Securities Act.

Acea's €1 billion Euro Medium Term Note drawdown, 2018
Paul advised Acea S.p.A. in connection with its €1 billion bond issuance in two tranches: €300 million floating rate notes due 2023 and €700 million 1.5% notes due 2027. The notes have listed on the Luxembourg Stock Exchange and offered and sold pursuant to Regulation S under the Securities Act.

Pedemontana's €1.221 billion project bond, 2017
Paul advised JP Morgan as Global Co-Ordinator, together with Banca IMI, Santander, Banca Akros and Kommunalkredit, in connection with a project bond financing for the construction of the Superstrada Pedemontana Veneta toll road. The transaction comprises the issuance of €1.221 billion variable rate senior secured amortizing notes and €350 million step-up subordinated secured notes.

Banca Carige's €510 million liability management exercise, 2017
Paul advised Credit Suisse Securities (Europe) Limited and Deutsche Bank AG, London Branch in connection with the €510 million liability management exercise related to Banca Carige's capital increase.

Autostrade per l'Italia's €650 million tender offer, 2017
Paul advised Autostrade per l'Italia S.p.A. in connection with BNP Paribas' partial repurchase of Autostrade per l'Italia S.p.A.'s notes by means of an intermediated tender offer with a maximum aggregate principal amount of €650 million.
