Overview

Piero de Mattia is a dual-qualified lawyer (Italy and US) with nearly 20 years of experience in equity capital markets, corporate and M&A. His practice focuses on Italian and international initial public offerings assisting both issuers and underwriters, as well as on private placements, rights issues, tender offers and public M&A. In addition, Piero provides guidance to corporate and financial institutions on regulatory matters, including market abuse and transparency. This knowledge and experience enable Piero to assist corporate clients through a practical approach to securities regulations.

GVS's €570 million IPO, 2020
Piero advised GVS S.p.A. in connection with its initial public offering on the Milan Stock Exchange, in which 40.0% of the company’s ordinary shares were offered, for a total amount of approximately €570 million.

Sanlorenzo's IPO, 2019
Piero advised Banca IMI, Bank of America Securities and UniCredit Corporate & Investment Banking, as Joint Global Coordinators and Joint Bookrunners, in connection with the initial public offering of Sanlorenzo S.p.A. on the STAR segment of the Milan Stock Exchange.

Piovan’s €157 million IPO, 2018
Piero advised UniCredit Corporate & Investment Banking and Goldman Sachs International, as joint global coordinators and joint bookrunners, in connection with  the initial public offering of Piovan S.p.A. on the STAR segment of the Milan Stock Exchange. UniCredit Corporate & Investment Banking also acted as sponsor.

Gamenet’s €72 million IPO, 2017
Piero advised Gamenet Group S.p.A. in connection with its initial public offering on the Milan Stock Exchange, in which 35 percent of the company’s ordinary shares were sold for approximately €72 million.

GIMA TT’s €385 million IPO, 2017
Piero advised GIMA TT S.p.A. in connection with its initial public offering on the Milan Stock Exchange, in which approximately 35 percent of the company’s ordinary shares were sold for approximately €385 million.

Technogym’s €162 million IPO, 2016
Piero advised J.P. Morgan, Goldman Sachs and Mediobanca, as underwriters, in connection with the €162 million IPO of Technogym.

INWIT’s €795 million IPO, 2015
Piero advised Banca IMI, Deutsche Bank, Mediobanca and UBS, as managers, in connection with the €795 million Initial Public Offering of INWIT S.p.A. on the Milan Stock Exchange, in which approximately 40 percent of the company's ordinary shares were sold.

Telecom Italia’s €2 billion equity-linked bonds, 2015
Piero advised BNP Paribas and J.P. Morgan, as joint global coordinators and joint bookrunners, in connection with the placement of €2 billion 1.125% unsecured equity-linked bonds due 2022 issued by Telecom Italia S.p.A.

IGD’s €200 million rights issue, 2014
Piero advised BNP Paribas and Banca IMI in connection with the €200 million rights issue for Immobiliare Grande Distribuzione SIIQ S.p.A. (IGD).

Italiaonline €210 million voluntary tender offer, 2019
Piero advised Libero Acquisition S.à r.l. in connection with the €210 million leveraged recapitalization of Italiaonline S.p.A., carried out via, inter alia, the launch of a voluntary tender offer on all the outstanding shares of Italiaonline.

Italiaonline and Seat Pagine Gialle merger, 2015
Piero advised Italiaonline and Seat Pagine Gialle in connection with the €500 million reverse merger by incorporation of Italiaonline into Seat. This transaction represents the completion of a wider integration between Seat and Italiaonline.

Airport of Florence and Airport of Pisa merger, 2015
Piero advised Aeroporto di Firenze S.p.A., which manages the Florence airport, and Società Aeroporto Toscano Galileo Galilei S.p.A., which manages the Pisa airport, in connection with the merger of Aeroporto di Firenze S.p.A. into Società Aeroporto Toscano Galileo Galilei S.p.A., valued at €300 million.

ABB’s divestment to Nordic Capital Fund VIII, 2014
Piero advised ABB S.p.A., the Italian subsidiary of ABB, the leading power and automation technology group, in the divestment of its ABB Full Service business to Nordic Capital Fund VIII.
