Overview

Robert Becker is an associate in the Milan office. His practice focuses on securities, primarily in the debt and equity capital markets, assisting with United States and New York law issues for Italian-based transactions.

Robert assists corporate issuers, underwriters and initial purchasers in connection with secured and unsecured debt offerings, including high yield debt and straight private placements pursuant to Rule 144A and Regulation S. Robert also works on equity offerings, particularly IPOs, both with issuers and underwriters involved in such transactions.

Prior to joining White & Case in 2014, Robert practiced in the New York and Milan offices of other international law firms.

Experience

International Game Technology PLC in connection with the issuance of its US$750 million 6.250 percent Senior Secured Notes due 2027. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the Securities Act and listed on Euronext Dublin.

Intesa Sanpaolo S.p.A. in connection with the mandatory conversion of its No. 932,490,561 savings shares into Intesa Sanpaolo ordinary shares and the liquidation process deriving from the exercise of withdrawal rights of certain shareholders owning savings shares.

Gamenet Group S.p.A. in connection with the issuance of its €225 million Senior Secured Guaranteed Floating Rate Notes due 2023.The notes have been offered and sold pursuant to Rule 144A and Regulation S under the Securities Act and listed on the Luxembourg Stock Exchange. The proceeds were used to finance the acquisition of GoldBet S.r.l.

Adler Pelzer Holding GmbH in connection with the 2018 consent solicitation regarding the outstanding €350,000,000 4.125 percent Senior Secured Notes due 2024.

Piaggio & C. S.p.A. in connection with the issuance of a new €250 million high yield bond, 3.625 percent percent Senior Notes due 2025, and in connection with the related exchange offer to refinance its outstanding 4.625 percent Senior Notes due 2021. The New Notes have been listed on the Luxembourg Stock Exchange and offered and sold pursuant to Rule 144A and Regulation S under the Securities Act.

Intesa Sanpaolo S.p.A. on a US$2.5 billion issuance of Yankee bonds under its US$50 billion Medium Term Note Programme. The issuance consists of US$1 billion 3.375 percent senior notes due 2023, US$1 billion 3.875 percent senior notes due 2028 and US$500 million 4.375 percent senior notes due 2048, issued pursuant to Rule 144A under the U.S. Securities Act.

GIMA TT S.p.A. in connection with its initial public offering on the Milan Stock Exchange, in which approximately 35 percent of the company's ordinary shares were sold for a total amount of approximately €385 million.

De'Longhi S.p.A. in connection with the establishment of a US$300 million equivalent shelf programme and its €150 million 1.65 percent Senior Notes due 2027. The notes were sold through a Private Placement to US institutional investors.
