Representation of Valedo Partners, a Swedish investment company, and Prosero Security Group AB, a Swedish security services supplier, in the add-on acquisition of Arvolukko Oy, a supplier of locking systems.

Representation of Nordea Bank Abp (publ) in the annual update of its US$25 billion global medium-term note program. Nordea is the largest financial services group in the Nordic markets of Denmark, Finland, Norway and Sweden. Notes issued under the program will be listed on Euronext Dublin. BofA Securities acts as arranger and Barclays, BofA Securities, Citigroup, Credit Suisse, Deutsche Bank Securities, Goldman Sachs, HSBC, J.P. Morgan, Morgan Stanley, Nordea and UBS Investment Bank act as dealers for the program.

Representation of Stora Enso Oyj on the annual update of its €4 billion euro medium-term note (EMTN) program. Citigroup is acting as arranger and Barclays, BNP Paribas, Citigroup, Crédit Agricole CIB, Deutsche Bank, DNB, Goldman Sachs International, J.P. Morgan, NatWest Markets, Nordea, OP Corporate Bank plc and SEB are acting as dealers under the program. Stora Enso is a leading global provider of renewable solutions in packaging, biomaterials, wooden construction and paper.

Representation of Nordea Bank Abp on the annual update of its US$25 billion global medium-term note (GMTN) program and a subsequent US$1 billion offering of 1.000% 3-year restricted senior preferred notes due 2023 under the program. Nordea is the largest financial services group in the Nordic markets of Denmark, Finland, Norway and Sweden. BofA Securities, Citigroup Global Markets, JP Morgan, Morgan Stanley and UBS acted as dealers of the offering. The notes are listed on Euronext Dublin and were sold in the United States in reliance on Rule 144A under the Securities Act

Representation of Starwood Capital Group, a leading global private investment firm, in connection with the financing for the acquisition (through a controlled affiliate) of a Finnish rental residential portfolio of approximately 2,200 units in partnership with Avara Oy, Finland’s leading residential real estate investment and asset management company, in 2019 and related refinancing. The portfolio consists of 73 assets located in 16 cities, with 50% of the portfolio value in the Helsinki region. Following the acquisition, representing Starwood Capital Group and Avara Oy in connection with the subsequent extensive reorganization of the acquired portfolio and related accessions and other matters relating to existing financing arrangements.

Representation of Nordea Bank Abp and Citigroup Global Markets Ltd. as joint bookrunners and joint lead managers and OP Corporate Bank plc, Skandinaviska Enskilda Banken AB (publ) Helsinki Branch and Swedbank AB (publ) (in cooperation with Kepler Cheuvreux S.A.) as the co-lead managers in the fully underwritten approximately €510 million rights offering of Finnair Oyj, the flag carrier and largest airline of Finland.

Representation of Nordea Bank Abp, Citigroup Global Markets Ltd. and OP Corporate Bank plc as joint lead managers on the €200 million 10.25% capital securities offering and the simultaneous tender offer to all holders of the outstanding €200 million 7.875% capital securities of Finnair plc, the flag carrier and largest airline of Finland. The capital securities were offered for subscription through a book-building procedure and the capital securities were subsequently listed on Nasdaq Helsinki. Following this transaction, Finnair became the first European airline to complete a bond issuance since the outbreak of the COVID-19 pandemic in March 2020.

Representation of Danske Bank A/S, a Danish financial institution, on the annual update of its US$20 billion US medium-term note (USMTN) program. In connection with the update, the program was transferred from the regulated market of Euronext Dublin to its exchange-regulated market (GEM) and the program size was increased to US$20 billion. BofA Securities acts as arranger and BNP PARIBAS, Citigroup, Credit Suisse, Danske Bank, Goldman Sachs & Co. LLC, HSBC, J.P. Morgan, Morgan Stanley and UBS Investment Bank act as dealers.

Representation of Danske Bank A/S, a Danish financial institution, on its offering of US$1.25 billion 1.171% non-preferred senior callable notes due 2023 and US$750 million 1.621% non-preferred senior callable notes due 2026 under its US$20 billion medium-term note program. The notes are listed on Euronext Dublin and traded on its exchange-regulated market (GEM). BNP Paribas Securities, BofA Securities, Citigroup, Danske Bank, TD Securities and UBS acted as dealers in the offering.
