Biography
Tsveta Pencheva is an associate in the Project Development and Finance department of White & Case Paris.
Tsveta advises both lenders and sponsors on complex greenfield and brownfield financing matters, mainly in France. Her area of expertise includes structuring and financing of public-private, transport, telecom, IPP, renewable energy and real estate projects. Tsveta has also a significant experience in restructuring of complex transactions.
Experience
- Representation of the lenders on a €1.37 billion refinancing for Sonnedix, a global renewable energy producer with over 4GW of operating capacity. The transaction involves refinancing 1,040MW of existing and new solar PV assets across France, Italy, Poland, and Spain.
- Representation of the lenders on a €650 million senior financing for OpCore, a joint venture between the iliad Group and InfraVia created to develop a major independent European hyperscale data center platform.
- Representation of the lenders on a US$148 million financing for Borealis Data Center, which is 92.2 percent owned by Vauban Infrastructure Partners through its Fund Core Infrastructure Fund III SCS SICAV-SIF.
- Representation of the lenders on the financing for the acquisition of 100 percent of Cellnex's business in Austria.
- Representation of Morgan Stanley Infrastructure Partners, a private infrastructure investment platform within Morgan Stanley Investment Management (MSIM), on an exclusivity agreement to partner with Altice France to establish the first nationwide independent colocation provider in France through the acquisition of a 70 percent majority stake in UltraEdge, a newly established data center company.
- Representation of ORPEA Group on its accelerated safeguard plan, which was approved by the Nanterre Specialized Commercial Court on July 24, 2023.
- Representation of Vauban Infrastructure Partners on the 100 percent acquisition from Green Investment Group of Nordic Renewable Power Holding, a portfolio of three wind farms in Norway and Sweden with 40 wind turbines and an aggregated capacity of approximately 170MW.
- Representation of the concessionary company Grand Nancy Thermal Développement (GNTD) and its shareholders Bouygues Bâtiment Nord-Est, Omnes Capital and ValVital on the negotiation and conclusion of a mediation protocol with the Metropole of Grand Nancy and opponents of the Nancy Thermal aquatic and thermal complex project, and on the implementation of the protocol.
- Representation of Eiffage and Arcade-Vyv Group on the first concession contract granted in France for outsourced management of a housing estate owned by the Ministry of Armed Forces for a total amount of more than €7 billion.
