Biography
Hala is a counsel at White & Case in Riyadh.
Hala has over ten years of experience advising on corporate and commercial matters in Saudi Arabia. Her experience includes mergers and acquisitions, foreign investment, corporate structuring and restructuring, company establishments, corporate governance, commercial agreements, licensing and regulatory matters.
Hala advises local and international clients, including foreign investors, investment funds and international companies, on a wide range of corporate and commercial matters in Saudi Arabia. Her experience includes advising clients on establishing and structuring their presence and investments in Saudi Arabia and on applicable foreign investment, corporate, licensing and regulatory requirements.
Hala also has experience advising on mergers and acquisitions and other corporate transactions, including conducting legal due diligence and drafting, reviewing and negotiating transaction documents.
Prior to joining White & Case, Hala practiced as a lawyer at local and international law firms in Saudi Arabia. Before moving to Saudi Arabia, she practiced law in Syria for four years, advising local and international clients on corporate and commercial matters under Syrian law.
Hala is licensed to practice law in Syria and is a member of the Damascus Bar Association.
Experience
Representative experience includes:
Advising local and international clients, including listed companies, on Saudi competition law requirements and obtaining the necessary approvals from the General Authority for Competition (GAC) in connection with mergers, the establishment of SPVs, capital increases and other corporate transactions.
Advising on mergers and acquisitions and other corporate transactions from the initial stages through to closing.
Conducting legal due diligence in connection with mergers and acquisitions and other corporate transactions and preparing legal due diligence reports.
Drafting, reviewing and negotiating transaction documents, including share purchase agreements (SPAs), shareholders’ agreements and other transaction documents.
Advising international investors, investment funds and international companies on establishing and structuring their presence and investments in Saudi Arabia, including applicable foreign investment, corporate, licensing and regulatory requirements.
Advising on corporate structuring and restructuring, including the establishment and reorganisation of corporate entities.
Advising clients on corporate governance and compliance with applicable corporate and commercial laws and regulations in Saudi Arabia.
Drafting, reviewing and negotiating commercial agreements, constitutional documents, shareholders’ resolutions and other corporate documentation.
Advising foreign and local clients on licensing and regulatory requirements and liaising with the relevant governmental and regulatory authorities in Saudi Arabia.
Liaising with relevant governmental and regulatory authorities and handling the required procedures and filings to implement and reflect mergers and acquisitions, corporate transactions and other corporate changes in Saudi Arabia.
Advising on post-establishment corporate matters, including amendments to constitutional documents, changes to shareholders and managers and other corporate changes and regulatory filings.
