Biography

Krista Enarvi advises Finnish and international clients in corporate and financial transactions, with a particular focus on capital markets and public M&A.

Krista's equity capital markets experience includes initial public offerings, rights offerings and other equity offerings. Her debt capital markets experience covers green, social and hybrid bonds as well as other stand-alone bonds and EMTN programs.

In addition to capital markets transactions, Krista is experienced in public M&A and regularly advises clients on cross-border tender offers and public company M&A investments.

Krista also advises clients on a broad range of regulatory matters concerning securities markets and corporate regulation.

Experience

Advised Helios Investment Partners (Helios) and the bidder on the recommended cash tender offer for Tecnotree. The total equity value of the tender offer is approximately €131 million. Helios is an Africa-focused private investment firm based in the United Kingdom. Its portfolio companies operate in over 35 countries across the African continent. Listed on Nasdaq Helsinki, Tecnotree is a global provider of IT solutions for the management of services, products, customers and revenue for Communications Service Providers.

Representation of Sanoma Corporation, a Finnish learning and cross-media company, as the issuer, on the €150 million offering of 4.000% social notes due 2027. Nordea and Swedbank acted as the joint lead managers in the offering. The notes were offered for subscription through a book-building procedure to institutional investors and the notes will be listed on the Sustainable Debt Market of Nasdaq Helsinki.

In April 2024, a consortium led by Apollo Global Management and Rettig Oy Ab, a Finnish family office with 61.8 percent ownership in Purmo, made a voluntary tender offer for shares in Purmo Group. In July, Haier Smart Home made a competing offer with a higher offer price. The deal value in Apollo’s bid was €456 million, whereas Haier’s bid was €577 million. In late July 2024, Purmo announced that despite Haier’s higher bid, Purmo’s board of directors had decided to uphold its recommendation for Apollo’s bid. The board of directors justified its decision by arguing that the risk of non-completion due to potential failure to obtain regulatory approvals for Haier’s bid did not seem to be material, but was not insignificant and was notably higher than in Apollo’s bid. In addition, Purmo’s board of directors noted that it had not received sufficient comfort from the major shareholders that would indicate their support for Haier’s bid. Eventually, the consortium gained ownership of more than 90 percent in Purmo. White & Case acted as the lead legal advisor to Haier.

Representation of Valmet Corporation, a leading global developer and supplier of process technologies, automation and services for the pulp, paper and energy industries, on its issuance of €200 million 4.000 percent green notes. The green notes were listed on Nasdaq Helsinki. Danske Bank and Nordea acted as the joint lead managers in the offering.

Representation of Duell Corporation, a leading Nordic powersports aftermarket distributor listed on Nasdaq First North Growth Market Finland, as the issuer, on its €20.2 million rights offering. Carnegie acted as the sole global coordinator in the rights offering.

Representation of Georg Fischer AG, which offers products and solutions that enable safe transport of liquids and gases, as well as lightweight casting components and high precision manufacturing technologies with the purpose of becoming better every day, on its of EUR 2.1 billion voluntary recommended public cash tender offer for all the issued and outstanding shares in Uponor Corporation, a leading global provider of solutions that move water through cities, buildings and homes.

Representation of Duell Corporation, a leading Nordic powersports aftermarket distributor listed on Nasdaq First North Growth Market Finland, as the issuer, on the €8.7 million offering of 5,090,900 new shares in Duell in a private placement to institutional investors in deviation of the pre-emptive subscription right of the shareholders. The offering was made to institutional investors outside the Unites States pursuant to Regulation S. Carnegie acted as the sole bookrunner in the offering.

Representation of DNV AS, a global quality assurance and risk management provider headquartered in Norway, on its voluntary recommended public cash tender offer for all the issued and outstanding shares and stock options in Nixu, a cyber security services company headquartered in Finland.

Representation of Koskisen Corporation, a Finnish, family-owned wood processing company with more than hundred years of operating history, on the initial public offering and listing on the official list of Nasdaq Helsinki of the shares in Koskisen Corporation. Nordea acted as the sole global coordinator and bookrunner. At the offer price, Koskisen Corporation had a market capitalization of approximately €141.5 million.
