Biography

Overview

Laura is counsel in our global M&A and Corporate practice based in London, specialising in Private Equity, with a focus on advising sponsor-held portfolio companies from buy-out to exit and beyond.

Laura provides ongoing support to financial sponsors' portfolio companies on all aspects of their businesses including their capital structure, group reorganisations, management incentive plans, post-completion matters following a sponsor buyout or bolt-on acquisition, exit preparations and exits as well as strategic matters ranging from executive hiring and dismissals to compliance issues.

Laura regularly advises companies on day-to-day general corporate matters including governance, company secretarial and compliance issues and in some cases acts as "outsourced" general counsel.

Prior to joining White & Case, Laura worked as legal counsel for private equity house, Bridgepoint and worked in the London office of a magic circle firm, during which time Laura was seconded to Equistone Partners.

Representation of CityFibre, the UK's largest independent full fibre platform, and its existing shareholders on its capital raise, which included new equity investments from Abu Dhabi's Mubadala Investment Company and Interogo Holdings

Representation of Fat Face on its debt-for-equity financial restructuring, including its corporate reorganisation, management incentives and the consensual sale of the operating group by Bridgepoint to the lenders

Representation of Ocorian, the Inflexion-backed global trust and administration business, on its acquisition of Newgate Compliance, an FCA regulated UK-based compliance solutions provider

Representation of various financial sponsors and their portfolio companies in connection with their response to the COVID-19 pandemic

Representation of Antin Infrastructure Partners and Goldman Sachs' West Street Infrastructure Partners on the implementation of a management incentive plan for CityFibre, the UK’s largest alternative provider of wholesale fibre network infrastructure, and ongoing advice in relation to additional equity funding and the management incentive plan

Implementation of and amendment to the management incentive schemes for Kaupthing's portfolio companies Oasis and Warehouse, Karen Millen and Coast Fashions, including advising in relation to management change

Representation of Diaverum, a Bridgepoint portfolio company and one of the world's largest independent renal care providers, on a range of issues including a reorganisation to simplify the portfolio group structure and intercompany balances, and management change

Representation of EUSA Pharma, an Essex Woodlands portfolio company, including in connection with new equity funding
