Biography

Nasir Tak is an associate in the Mergers & Acquisitions practice group. Mr. Tak represents corporate clients, private equity funds and sovereign wealth funds in domestic and cross-border mergers, acquisitions, joint ventures and equity investments in a broad range of industries.

Experience

Recent transactions include the representation of:

  • Mubadala Investment Company in its participation in a joint venture alongside NextDecade Corporation, Global Infrastructure Partners (GIP), GIC and TotalEnergies in connection with the US$18.4 billion financing of the Rio Grande LNG project. This was the largest greenfield energy project financing in US history.
  • Harvest Partners in the sale of Concentric, LLC, a top provider of industrial power solutions in North America, to Mitsubishi Heavy Industries, Ltd. through Harvest's portfolio company OnPoint Group, LLC.
  • DP World, the global ports operator, in its US$1.2 billion acquisition of syncreon, a US-based logistics provider.
  • Investcorp and its portfolio company ICR, a global leader in strategic communications and advisory services, in the strategic investment made by Caisse de dépôt et placement du Québec (CDPQ) into ICR.
  • Azurity Pharmaceuticals, Inc., a portfolio company of QHP Capital, in its acquisition of Slayback Pharma LLC from existing investors including KKR and Everstone Capital.
  • BioAgilytix, a leading provider of large-molecule bioanalytical testing services and a portfolio company of Cobepa, in its recapitalization by Cinven.
  • Harvest Partners in its sale of Neighborly, the world's largest provider and franchisor of home service brands, to KKR.
  • PRO Unlimited Global Solutions Inc., a leader in contingent workforce management solutions and jointly-held portfolio company of Harvest Partners and Investcorp, in the sale of PRO Unlimited to EQT.
  • Harvest Partners in an investment in Granicus, a world-leading provider of software solutions that help to improve government efficiency and transparency.
  • Harvest Partners in an investment in MRI Software, a leading provider of real estate management software solutions globally.
  • Harvest Partners in the sale of TruckPro Holding Corp., one of the largest independent distributors of heavy-duty trucks and trailer parts in the US, to an affiliate of Platinum Equity.
  • I Squared Capital in its acquisition of Star Leasing, a leading trailer lessor in the US.
  • I Squared Capital in the merger by its portfolio company American Intermodal Management (AIM) with Flexi-Van Leasing, the third-largest marine chassis provider in the US.
  • Quad-C Management, Inc. in its sale of EFC International, a leading value-added distributor of highly engineered specialty fasteners to the automotive and industrial end-markets.
  • NovaQuest Capital Management LLC in its acquisition of Spectra Medical Devices, Inc., a leading manufacturer of procedural needles and distributor of generic injectable drug products.
  • CVC Capital Partners in a consortium of investors for a 22.55% stake investment in Authentic Brands Group LLC, a brand management company and owner of a portfolio of brand name companies (including Forever 21, Brooks Brothers, Barneys New York, Lucky Brand and Juicy Couture), valuing the company at US$12.7 billion in enterprise value.
  • A consortium composed of Brookfield Infrastructure, its institutional partners and GIC, Singapore's sovereign wealth fund, on the US$8.4 billion acquisition of Genesee & Wyoming Inc. (NYSE: GWR), a freight railroad owner and operator based in the United States. This transaction was named "Private Equity Deal of the Year" by IFLR (2020).
  • EchoStar Corporation (NASDAQ: SATS) in the tax-free spin-off and subsequent merger of its broadcast satellite services business with a subsidiary of DISH Network Corp. (NASDAQ: DISH).
  • B. Riley Principal Merger Corp. II, a SPAC, in its US$550 million business combination with Eos Energy Services LLC, a leading manufacturer of zinc hybrid cathode battery energy storage systems.
  • The Carlyle Group in the US$590 million acquisition of three natural gas-fired generation facilities in New England, with a combined capacity of 1,100 MW, from Emera Inc.
  • Lantheus Holdings, Inc. (NASDAQ: LNTH), a leader in the development, manufacture and commercialization of innovative diagnostic imaging agents and products, in its US$500 million acquisition of Progenics Pharmaceuticals, Inc. (NASDAQ: PGNC), an oncology company focused on the development of targeted medicines and artificial intelligence to find and fight cancer.
  • Neighborly, the world's largest franchisor of home service brands and a portfolio company of Harvest Partners, in its acquisition of Precision Door Service, the leading garage door repair franchise in the US.
  • Lumos Investment Holdings LP and its subsidiary PRO Unlimited Global Netherlands, B.V. in the acquisition of Brainnet Group, a Netherlands-based managed service provider.
