Nicholas Choo is an associate in the Mergers & Acquisitions and Private Equity Practice, based in Singapore.
Nicholas advises on domestic and cross-border mergers and acquisitions, joint ventures, corporate restructurings and general corporate commercial matters. His experience includes advising multinational corporations and institutional investors in a variety of industries, including healthcare and real estate.
Experience
ESR on its:
- disposal of interests in the Higashi Ogishima B Distribution Centre in Japan to a joint venture vehicle established by ESR and The Government of Singapore Investment Corporation (GIC), and related shareholder arrangements in respect of the SPC with GIC;
- disposal of interests in a data center asset in Osaka, Japan to a joint venture vehicle established by ESR and CloudHQ; and
- disposal of interests in a real estate logistics asset in Sachiura, Japan, to BNP Paribas Asset Management Alts (formerly AXA Investment Managers, now part of BNP) and PGGM, and related joint venture arrangements with BNP Paribas Asset Management Alts and PGGM.
dMY Squared Technology Group, a special purpose acquisition company (SPAC) publicly traded on the NYSE, on its proposed business combination with Singapore-based Horizon Quantum, a developer of advanced software development tools for quantum computers.
Keppel Capital, a leading owner and operator of data centres across Asia-Pacific and Europe, on its joint venture with Digital Decarbonization Solutions Platform, a digital infrastructure and decarbonized energy delivery company to acquire certain land in Taiwan to develop and operate an 80 MW Tier III-equivalent greenfield data center campus in North Taiwan. This deal marks Keppel's first data center project in Taiwan.
A leading global financial sponsor on its:
- acquisition of international schools in Thailand including its certain land area and school buildings; and
- acquisition of the remaining stake in international schools in Malaysia from an investment company listed on the Malaysia Bursa.
A leading real estate manager and investment firm on its joint venture with a private investment firm to acquire, develop and manage a real estate logistics asset in Japan.
An Asia-based secondaries firm on its:
- acquisition of a portfolio of interests in certain funds that hold real estate assets in India and the PRC from three institutional investors;
- acquisition from an investment bank of a secondary portfolio of equity investments through two newly formed partnerships, of which it is the lead investor; and
- acquisition from an investment management company of shares in a Cayman Islands feeder company which invests in a fund that holds real estate and logistics assets in India.
