Biography
Penny Lau is an associate in the White & Case's Asia Debt Finance group, based in Hong Kong.
Penny has experience in advising banks, other financial institutions and corporate borrowers on acquisition and leveraged financings, take-privates and syndicated and bilateral loans, along with refinancing of such transactions.
Experience
Her experience includes advising:
- The mandated lead arrangers on a 10-year tenor RMB term loan and revolving loan facilities for KKR's acquisition of an up-to 85 percent stake in the holding company of Dayao Jiabin Beverage Co., Ltd.
- Gaw Capital Partners which led a consortium of investors consisting of Goldman Sachs Group and China Great Wall Asset Management in the refinancing of existing HKD term and revolving credit facilities of up to HK$14.4 million, backed by a portfolio of 16 shopping malls in Hong Kong which were acquired from the Link REIT in 2018.
- A Chinese real estate developer backed by a global private equity firm, as borrower's counsel in relation to a CNH term loan facility provided by a Chinese-funded investment company for purpose of, among others, refinancing the shareholder loans within the borrower's group.
- Certain borrowers in the restructuring of a financing which was originally applied to finance an acquisition of certain companies which own PRC properties, assisted the borrowers in financing terms amendment negotiations, including extending the maturity, lowering the interest margin, testing of financial covenants and agreeing a structure to settle the claims of one of the creditors.
- Pavo Limited (Offshore Borrower) and Shanghai Mohong Enterprise Management Co., Ltd. (Onshore Borrower) in respect of the offshore and onshore facilities provided by E.SUN Commercial Bank, Ltd. The purpose of the facility is for the borrowers to repay its certain shareholder loan.
