Biography
Seira Shin-Clayton is Counsel in our Corporate/M&A practice group based in Tokyo. Her practice focuses on advising both buyers and sellers on complex, cross-border M&A transactions.
Prior to joining White & Case, Seira practiced at other leading international firms in Tokyo and New York.
Experience
- NEC, in its US$2.9 billion acquisition of Nasdaq-listed CSG Systems. Finalist, “M&A Deal of the Year (Premium)”, ALB Japan Law Awards 2026.*
- Kirin Holdings Company Limited and its subsidiary, Kyowa Hakko Bio Co. Ltd., on the sale of the international business of manufacturing and selling certain amino acids and Human Milk Oligosaccharide (HMO) operated by Kyowa Hakko Bio to Meihua Holdings Group Co Ltd.*
- Waldencast plc, in its US$1.2 billion three-way business combination with Obagi Cosmeceuticals (outside of China) and Milk Makeup.*
- JAB Holding Company in its $1.5 billion acquisition of Embrace Pet Insurance Agency, LLC, $1.4 billion acquisition of Crum & Forster Pet Insurance Group and Pethealth Inc. from Fairfax Financial Holdings Limited, and acquisition of a controlling ownership interest in Pumpkin Insurance Services Inc. from Zoetis Inc.*
