Biography

Tarun is a partner in the Global Financial Restructuring and Insolvency Practice and Global Private Capital Industry Group.

Tarun's practice spans financial restructuring and capital solutions transactions, advising on distressed and complex situations across public and private markets in Asia-Pacific. Clients include hedge funds, private equity firms, debtors, creditors, bondholders, institutional investors and ad hoc creditors' committees.

He is a leading advisor on restructuring and insolvency, and provides strategic and crisis management advice to creditors and management of financially distressed companies, as well as private equity funds facing issues with portfolio companies in emerging markets. He also structures cutting-edge investment solutions to address the complex issues arising in connection with companies in financial distress and opportunistic investments.

Standing out in the market, Tarun is a "go-to" with respect to India-focused investments and transactions. Leveraging his deep understanding of the legal, financial and commercial landscapes that define the India market, Tarun provides comprehensive advice across the spectrum of India-focused investments and transactions. He has recently been listed in India Business Law Journal's International A List as an A-List Lawyer.

Tarun has practiced in the Asia-Pacific region for over a decade. He previously served as Managing Director and APAC General Counsel at a leading global alternative investment firm specializing in credit and credit-related assets, which gives him a unique perspective when advising clients.

Experience

Advised an ad hoc group of lenders in the Chapter 11 cases of Marelli, a Japan-based multinational automotive supplier, involving US$4.9 billion in liabilities.

Advised an ad hoc committee of holders of the US$170m convertible bonds issued by Udaan, an Indian B2B e-commerce company.

Advised an ad hoc committee of holders of the US$175 million bonds issued by SriLankan Airlines Ltd and guaranteed by the Government of the Democratic Socialist Republic of Sri Lanka.

Advised a credit fund on a US$200 million financing to a borrower to acquire securities listed in India.

Advised an ad hoc committee of holders of the US$350 million and US$414 million bonds issued by Azure Power Solar Energy Ltd and Azure Power Energy Ltd on a restructuring of the bonds.

Advised a credit investor on a US$100 million External Commercial Borrowing facility to an Indian borrower.

Advised a credit investor on a US$200 million financing to acquire listed securities issued by an Asian conglomerate.

Advised a creditor of Vedanta Resources on the restructuring of its US$100 million facility to Vedanta.

Advised a credit fund on a US$52 million financing to promoters of a listed company in India.

Advised one of the world’s leading litigation funders on the structuring and terms of funding arrangements for a company subject to a Corporate Insolvency Resolution Process in India as plaintiff in a US$2 billion arbitration.

Advised a consortium of investors on a US$500 million financing and one -time settlement with existing lenders to RattanIndia Power.

Advised investors on bids in the Corporate Insolvency Resolution Processes of certain Indian companies.

Advised an ad hoc committee of holders of the US$546 million Step Up Convertible Bonds due 2019 issued by Suzlon Energy Ltd. on a restructuring of the notes.

Advised on the potential recapitalization and management takeover of a distressed real-estate focused PE fund.

Advised an ad hoc committee of holders of the US$300 million senior secured notes issued by Reliance Communications Limited on the restructuring of the notes.

Advised a private equity firm in relation to multi-jurisdictional claims against the founder of a Cayman incorporated portfolio company listed in Hong Kong.

Advised lenders under a US$500 million syndicated facility on restructuring and enforcement options against the borrower in various jurisdictions including England, Mauritius and India.

Advised an ad hoc committee of holders of the US$200 million 7.125% Senior Notes due 2022 issued by Jain Irrigation Systems Ltd. on a restructuring of the notes.

Advised IL&FS Transportation Networks Ltd. in respect of the restructuring of its offshore indebtedness (including CNY 900 m 7.5% notes due 2021 issued by its Singapore incorporated subsidiary, ITNL Offshore Pte Ltd).

Advised the litigation trustee of the Sino-Forest Corporation ("SFC") on multi-jurisdictional claims arising from the collapse of SFC, a US$5 billion forestry and wood products company listed on the Toronto Stock Exchange and headquartered in Hong Kong with operations and assets in the People's Republic of China.
