Biography

Ziad Gadalla is a partner of MHR & Partners in association with White & Case.

Ziad's practice focuses on project finance, banking & finance, energy, mining and infrastructure. He is ranked as a "Leading Partner" by Legal 500 in the Energy and Projects & Infrastructure from 2023 till 2025.

Prior to joining MHR & Partners in association with White & Case, Ziad worked for an international law firm in Cairo.

Experience

Advised a syndicate of lenders led by Societe Generale, London Branch to subsidiaries of Cheiron Petroleum Corporation and Cairn Energy PLC on a reserve-based lending facility of US$325 million for the acquisition of upstream oil and gas assets located in the Western Desert in Egypt from Shell Egypt N.V. and Shell Austria GmbH for a base consideration of US$646 million and an additional contingent consideration of up to a maximum of US$280 million.

Advised Egypt's National Authority for Tunnels on a €1 billion contract with Deutsche Bahn & El Sewedy Electric, for the operation and maintenance of Egypt's first high-speed rail network.

Represented Orascom for Real Estate in relation to EGP 6 billion facility from Commercial International Bank (CIB) and Banque Misr for the development of O-West facility in Cairo.

Represented Afreximbank in relation to the establishment of a new complex in the New Administrative Capital, which will include the new premises of Afreximbank, exhibition centre for the African Trade Organization, hotel and commercial area.  Our role included the negotiations of the land purchase agreement from ACUD (the new administrative capital company) and the structure of the construction agreements.

Advised SMD in relation to the establishment of a methanol derivatives plant in Damietta Egypt with a total investment cost of US$220 million, this included the drafting and negotiations of the EPC Contract, the technology licenses agreement and the methanol pipeline construction agreement for the supply of feedstock from E-Methanex.

Representing SDX Energy in relation to the disposal of 18.5% of South Disouq concession to EFGL (Cypriot company) and the reverse of sale of 33% of Sea Dragon Energy (Nile) B.V. This included extensive negotiations with the Egyptian Natural Gas Holding Company with regards to the reversal of the transaction and the execution of a deed of assignment.

Representing AP Moller in relation to a Power Purchase Agreement between one of AP Moller subsidiaries and Lafarge.

Advising Chevron on its oil and gas acquisition and development matters in Egypt, including in relation to leasing available blocks, joint operating agreements, farm in/outs and regulatory matters.

Advising Hoegh LNG in relation to the Regasification Services Agreement ($100m) to be entered into with the Egyptian Natural Gas Holding Company (EGAS) for the regasification of LNG through an FSRU that is currently chartered to an Australian company.

Advised Sodic on all aspects of the discounting/revolver facility from Commercial International Bank. Involvement in the Project as Borrower's counsel included negotiating and drafting the Facility Agreement, the Accounts Pledge Agreement, and all related documents.

Advised Abu Dhabi Commercial Bank in relation to their facility to the Egyptian Natural Gas Holding Company (EGAS). This included involvement in the financing as lender's local counsel negotiating [the Facility Agreement], drafting and negotiating the Movables Pledge Agreement, and the Assignment Agreement.

Advised Ora real estate in relation to the facility from Commercial International Bank and other lenders for the development of Zed East multi-purpose real estate development. Involvement in the Project as Borrower's counsel included negotiating and drafting the Facility Agreement.

Representing Orascom Development Egypt in relation to a loan from International Finance Corporation (IFC) for the refinancing of existing facilities (US$ and EURO tranches) with other lenders and additional tranche to finance capex to renovate hotels.

Advised the Egyptian Ethylene & Derivatives Company S.A.E as the Borrower's counsel in relation to a term facility agreement amongst others, Mashreqbank PSC. Involvement in the Project as Borrower's counsel included negotiating and drafting the Facility Agreement, and all related documents.

Representing EG Bank in relation to EGP 1.8 billion facility to Landmark for Real Estate Development for the development of a mixed use real estate development in New Cairo (1 Ninety Project).

Representing Sodic in relation to EGP 3 billion facility from Arab African International Bank for the financing of a real estate project in New Zayed City (West Cairo) with commercial name (Estates).

Advised the African Export–Import Bank (Afrexim) in connection with several facilities with an overall value of approximately US$4 billion, including: Several facilities granted to the National Bank of Egypt, Banque Misr, United Bank and Arab African International Bank with a total value of US$4 billion under the Ukraine Crisis Adjustment Trade Financing Programme for Africa to manage the impacts of the Ukraine crisis on African economies and businesses ("UKAFPA Programme") in June 2023, January 2024 and July 2024. In addition to US$1 billion facility granted to the Egyptian General Petroleum Corporation (EGPC) for the supply of feedstock from E-Methanex.

Representing EPPC on a syndicated financing matter by Ahli United Bank Egypt and Ahli United Bank Kuwait.

Representation of Eni S.p.A. in connection with its agreement to acquire Neptune Energy Group Limited, a leading independent exploration and production company with a portfolio of gas-oriented assets and operations in Western Europe, North Africa, Indonesia and Australia, for a total value of €4.9 billion.

Provide legal services to Trans Globe West Gharib Inc. in connection with general corporate and advisory matters.

Advised Energean plc, a FTSE 250 premium-listed energy company, on its strategic divestment of its Egypt, Italy and Croatia exploration and production assets to an entity controlled by Carlyle International Energy Partners (Carlyle) for an enterprise value of up to US$945 million.

Representation of a syndicate of banks on a US$200 million senior secured reserves based lending financing for Cheiron Finance Limited, a subsidiary of PICO International Petroleum, part of the multi-national PICO Group conglomerate. The proceeds of the financing will be used by Cheiron Finance Limited, and its operating companies, to finance the expansion of operations and optimisation of production at its oil and gas fields in the Gulf of Suez.

Representation of ADES International Holding Ltd, leading provider of offshore and onshore oil and gas drilling and production services company, on its IPO on the London Stock Exchange.*

Acted on the US$3.7 billion project financing for the Egyptian Refinery Company (ERC) greenfield refinery project in Mostorod, near Cairo.*

Representation of the Egyptian Ethylene and Derivatives Company SAE in connection with the finance of the construction of an industrial complex, valued at US$1.25 billion, for producing ethylene/polyethylene products in El Amrya District in Alexandria.*

Representation of Al Nowais Investment in relation to the first coal fired power plant in Egypt with a capacity of 2600 MW in Ayoun Moussa, Egypt with a total investment cost of US$4 billion.*

Representation of Taqa Arabia and Solar Reserve in relation to 2x50MW Solar PV Projects under the Feed-in-Tariff program, including the review of the project documents, the EPC agreement and the financing of the projects.*

Representation of Taqa Arabic in connection with a solar project with a capacity of 50MW under the Feed in Tariff Program, including reviewing the power purchase agreement, the usufruct agreement, PPA direct agreement, the finance documents and the EPC contract.*

Representation of the International Finance Corporation (IFC) in connection with a US$200million A loan and US$125 million B loan to the Egyptian Fertilizer Company which is a wholly owned subsidiary of Orascom Construction Industries.*

Representation of the Commercial International Bank Egypt (CIB), the Ahli United Bank (Egypt) S.A.E (AUBE), and the International Finance Corporation (IFC) in connection with their financing the establishment of a greenfield 1,200 tons per day of polyethylene terephthalate plant in Ain Sokhna, Egypt, at a total investment cost of US$204,900,000 by the Egyptian Indian Polyester Company.*

Acted as lenders local counsel in respect of the restructuring and refinancing of Sidi Krir project.*
