Bloomberg Law | Political risk reshapes M&A strategy, White & Case chief says

In an article for Bloomberg Law, White & Case Global Co-Head of Mergers & Acquisitions, Michael Deyong, discussed the evolving role of M&A counsel and how risk considerations are increasingly shaping deal strategy, drawing on his work advising EchoStar on its spectrum transactions with AT&T and SpaceX.

Michael explained that lawyers and regulatory experts are being engaged at the outset of a transaction to evaluate approval risk before a sale process is launched, bidders are selected or a deal structure is established. "We have to bring political and regulatory analysis forward into the transaction process," he said.

He also noted that the role of transactional lawyers now extends beyond securing regulatory approvals to helping clients structure "strategically sound" transactions, identify sensitive assets and "craft a narrative" that supports a deal's long-term objectives.
