White & Case Advises the Government of the Republic of Trinidad and Tobago on Heads of Agreements with Partners of Trinidad’s Atlantic LNG Project

Global law firm White & Case LLP has advised the Government of the Republic of Trinidad and Tobago, acting through the Ministry of Energy and Energy Industries, on a recently executed Heads of Agreements (HOAs) with Shell Trinidad and Tobago Limited, BP Trinidad and Tobago LLC, and the National Gas Company of Trinidad and Tobago Limited in connection with their shareholding in the Atlantic LNG project. The project is one of the largest LNG export facilities in the Western Hemisphere and a critically important component of Trinidad and Tobago's energy industry infrastructure.

The HOAs follow years of complex negotiations, with sustained involvement by White & Case as a key legal advisor to the Ministry of Energy and Energy Industries, building upon previously announced HOAs executed by the parties. The HOAs set forth terms for renewed government licensing of the project, the commercial contracts underpinning the supply, processing the sale of gas and LNG across the value chain, and the corporate structure and corporate governance among the shareholders of Atlantic LNG.

The HOA terms will continue to be refined and incorporated into definitive agreements and licenses for the restructured Atlantic LNG project. The principles agreed in the HOAs seek to ensure that Atlantic LNG can contribute to operate as a world-class LNG facility in a globally competitive environment in the years to come, to the benefit of all stakeholders, including the people of Trinidad and Tobago.
