Biography
Amulang is an associate in our capital markets practice. She has experience representing issuers and underwriters in a full range of capital market transactions, including public offerings, public mergers and acquisitions, and general corporate representations.
Following her graduation from LL.M. program at Stanford Law School, Amulang worked at a publicly traded technology company in Silicon Valley advising on matters related to public company reporting, corporate governance, as well as M&A and VC investments.
Experience
Advised a syndicate of banks, including Jefferies as the sole global coordinator, on the initial public offering (IPO) of The National Investment Fund of the Republic of Uzbekistan JSC (UzNIF).
Advised leading sub-Saharan financial services franchise Guaranty Trust Holding Company (GTCO) on its fully marketed offering of shares and on the admission of its ordinary shares to listing in the Equity Shares (International Commercial Companies Secondary Listing) category of the Official List of the UK Financial Conduct Authority (FCA) and to trading on the Main Market for listed securities of the London Stock Exchange (LSE).
Advised CVC and Mehiläinen on the €1.1 billion financing for Mehiläinen's acquisition of Regina Maria in Romania and MediGroup in Serbia from private equity firm MidEuropa.
Advised the Republic of El Salvador on the world's largest debt-for-nature conversion for river conservation and the world's largest debt-for-nature conversion in terms of the size of funding commitments for conservation.
Advised the Republic of Uzbekistan on the GMTN Programme updates and issuances;
Advised JSC UzAuto Motors on on an issuance of US$350 million notes and a tender offer with respect to its US$300 million notes;
Advised Navoi Mining and Metallurgical Company JSC, the largest gold producer in Central Asia and the fourth largest gold producer globally, in connection with its debut US$1 billion dual-tranche Eurobond offering comprising US$500 million notes and US$500 million notes. The transaction represented the largest corporate Eurobond offering in the CIS region since July 2020 and, as of 2024, this was the largest ever corporate Eurobond offering in Uzbekistan;
Advised Navoi Mining and Metallurgical Company JSC on the offering of US$500 million Eurobond;
Advised SQB on its Rule 144A / Regulation S issuances of USD and Uzbek soum-denominated notes for the aggregate amount of US$575 million;
Advised Adler Group S.A. and its subsidiaries on the agreement with a steering committee of bondholders supporting a comprehensive recapitalization of the Group.
Advised ORLEN S.A., one of the largest multi-energy corporations in Central and Eastern Europe, on the issuance of ten-year unsecured bonds with a nominal value of US$1.25 billion and a 6% annual coupon.
Represented Lulu Retail Holdings PLC on its pre-IPO reorganisation and successful intention to float on the ADX via a sale of 25% of its issued shares by its sole shareholder, Lulu International Holdings Limited.
Advised Morgan Stanley, Goldman Sachs, Credit Suisse, BofA Merril Lynch, VTB Capital and Sberbank CIB as underwriters in connection with an SEC registered, NASDAQ listed US$220 million initial public offering of American Depositary Shares (ADS) of HeadHunter, major Russian internet recruitment company.
Advised a syndicate of banks including Credit Suisse and J.P. Morgan, as Joint Global Coordinators and Joint Bookrunners, and China International Capital Corporation, Halyk Finance and Mizuho International plc, as Joint Bookrunners, and Numis Securities, as Co-Manager, on the US$451.3 million initial public offering of Kazatomprom, the world's largest producer of uranium. Kazatomprom's ordinary shares have been admitted to trading on the newly established Astana International Exchange (AIX) and GDRs on the LSE and AIX. The deal was awarded "ECM Deal of the Year in CEE, Russia and the CIS" by GlobalCapital 2019.
Advised EN+ Group plc as issuer on the offering of global depositary receipts admitted to trading on the London Stock Exchange and the Moscow Exchange. The total size of the offering amounts to US$1.5 billion at the offer price, of which US$1.0 billion is primary proceeds and US$0.5 billion is a secondary component, excluding the over-allotment option. En+ Group plc is a leading international vertically integrated aluminium and power producer with core assets located in Russia. The transaction is the largest Russian IPO globally since 2012. The deal was awarded "ECM Deal of the Year in CEE, Russia and the CIS" by GlobalCapital 2018.
Advised Sberbank CIB as agent to the Russian Federation, and Sberbank CIB and VTB Capital as joint global coordinators and joint bookrunners, on the US$812 million privatization of the Russian Federation's 10.9 percent stake in the charter capital of ALROSA, the world's leading diamond mining company in terms of diamond production. The deal was the largest privatization transaction via offering of local shares in Russia since the 2013 IPO of ALROSA when we also represented Goldman Sachs, Morgan Stanley, J.P. Morgan, VTB Capital and Renaissance Capital in connection with the US$1.3 billion offering of shares of ALROSA on the Moscow Exchange.
Advised Joint global coordinators and joint bookrunners in connection with US$469 million follow-on offering by the Central Bank of Russia of shares in the charter capital of Moscow Exchange. Earlier in 2013 represented joint global coordinators and joint bookrunners in the RUB 15 billion (US$500 million) offering of shares in the charter capital of Moscow Exchange with the listing on Moscow Exchange. At that time, the deal was the largest initial domestic share offering in Russia and the largest securities exchange IPO.
Advised Underwriters in US$319 million follow-on offering of Class B Shares of QIWI in the form of American Depositary Shares (ADS).
Advised VTB private equity investment vehicle as a selling shareholder in connection with the US$950 million initial public offering of global depositary receipts (GDRs) of Lenta, one of the largest retail chains in Russia. GDRs have been admitted to trading on the London Stock Exchange and Moscow Exchange.
