Overview

Aneta Urban focuses on banking and finance law. She has participated in a number of domestic and cross-border loan transactions. She advises Polish and foreign banks, financial institutions, borrowers, sponsors, investment funds and private equity funds on Polish and cross-border financing transactions, including: (a) acquisition finance transactions, (b) real estate finance transactions, (c) project finance transactions, and (d) general corporate purposes financing. She has significant experience in preparing and negotiating documentation connected with the issuance of various debt instruments, including bonds and deposit certificates.

Prior to joining White & Case, Aneta worked for the Warsaw office of a Magic Circle firm for almost eight years.

A chemical company: representation of a leading chemical company in connection with the EUR 850 million refinancing of the current indebtedness.

A consortium of lenders: representation of Bank Pekao S.A., Credit Agricole Bank Polska S.A., Credit Agricole Corporate and Investment Bank, EBRD, ING Bank Śląski S.A., PKO BP S.A., PZU S.A., Raiffeisen Bank Polska S.A. and UniCredit AG in connection with the PLN 930 million refinancing of INEA S.A.

Synthos S.A.: representation of FTF Galleon S.A., an investment vehicle owned by Polish billionaire Michał Sołowow, in connection with financing to guarantee the PLN 2.5 billion acquisition of shares in Synthos S.A.

Ghelamco: representation of Ghelamco in connection with a €221 million and PLN 45 million facility agreement entered into with Polish lenders' syndicate in connection with the financing of the construction and development of a multifunctional complex building in Warsaw (The Warsaw HUB).

Play: representation of P4 Sp. z o.o. and Play Holdings 2 S. à r.l., trading as Play, in connection with obtaining financing in the form of term loan facilities and a revolving credit facility of up to PLN 7 billion (approx. €1.65 billion).

Towarzystwo Finansowe Silesia sp. z o.o.: representation of TFS in connection with the restructuring of Polimex-Mostostal S.A. covering, among others, a capital injection to the company by energy investors (i.e., ENEA S.A., Energa S.A., PGE Polska Grupa Energetyczna S.A. and PGNiG Technologie S.A.) in the amount of PLN 300 million and the sale of convertible bonds of the company worth PLN 73 million by Agencja Rozwoju Przemysłu S.A. to TFS

Jastrzębska Spółka Węglowa S.A.: representation of the company in connection with debt restructuring and the agreement reached between JSW S.A. and its bondholders, i.e., PKO BP S.A., BGK, PZU S.A. and PZU na Życie S.A.

Kompania Węglowa S.A.: representation of Kompania Węglowa S.A. ("KW") in connection with KW's restructuring process in a number of financial institutions, the issue of bonds of Polska Grupa Górnicza Sp. z o.o. to the amount of more than PLN 1.1 mln and corporate restructuring. This was one of the biggest restructurings in Poland in many years.

Koleje Mazowieckie Sp. z o.o.: representation of Koleje Mazowieckie Sp. z o.o. in connection with obtaining financing through the issuance of bonds worth nearly PLN 900 million.

Bank Pekao S.A.: representation of Bank Pekao SA, the sole senior lender, in connection with the financing of a public-private partnership project concerning the redevelopment and maintenance of student dormitories of the Jagiellonian University Medical College in Cracow, Poland. This transaction represents the first PPP student housing project in Poland.
