Aneta Urban focuses on banking and finance law. She has participated in a number of domestic and cross-border loan transactions. She advises Polish and foreign banks, financial institutions, borrowers, sponsors, investment funds and private equity funds on Polish and cross-border financing transactions, including: (a) acquisition finance transactions, (b) real estate finance transactions, (c) project finance transactions, and (d) general corporate purposes financing. She has significant experience in preparing and negotiating documentation connected with the issuance of various debt instruments, including bonds and deposit certificates.
Prior to joining White & Case, Aneta worked for the Warsaw office of a Magic Circle firm for almost eight years.
Kompania Węglowa S.A.: representation of Kompania Węglowa S.A. ("KW") in connection with KW's restructuring process in a number of financial institutions, the issue of bonds of Polska Grupa Górnicza Sp. z o.o. to the amount of more than PLN 1.1 mln and corporate restructuring. This was one of the biggest restructurings in Poland in many years.
PKO BP S.A.: represented the bank in connection with the PLN 119 million financing of Vistula Group S.A., one of the largest Polish producers of men's clothing, in order to refinance the company's existing indebtedness.
Bank Gospodarstwa Krajowego: represented the underwriter with respect to PLN 1 billion bond issuance programme of Polskie Górnictwo Naftowe i Gazownictwo S.A.
Bank Pekao S.A. (UniCredit Group): represented the bank in connection with the financing of a public-private partnership project concerning the redevelopment and maintenance of student dormitories of the Jagiellonian University Medical College in Cracow, Poland. This transaction represents the first PPP student housing project in Poland.
Bank Gospodarstwa Krajowego: represented the bank in connection with the PLN 256 million investment facility and PLN 40 million revolving facility made available to Grupa Azoty Zakłady Azotowe Kędzierzyn S.A. for the construction of a new heat and power plant. The agreement was signed under investment state support scheme "Inwestycje Polskie".
Jastrzębska Spółka Węglowa S.A.: advised the company on financing through private placements of secured bonds under an issue program in two tranches of, respectively, PLN 700 million and US$163.76 million for the purpose of the acquisition of the Knurów-Szczygłowice coal mine for PLN 1.49 billion.
P4 sp. z o.o.: advised Poland-based mobile telecoms operator on its groundbreaking, inaugural €870 million and PLN 130 million, dual-tranche high yield bond issue and entry into a new super senior revolving credit facility. As of the transaction day it was the largest Central & Eastern Europe high yield deal ever and the first ever Polish zloty-denominated high yield bond issued on the international capital markets.
Synthos S.A.: represented Synthos S.A., one of the leading manufacturers of chemical raw materials in Central and Eastern Europe, in connection with the Reg S/Rule 144A issuance and sale of €350 million 4.000% Senior Notes due 2021 of Synthos Finance AB (publ), a special purpose company of Synthos S.A.
P4 sp. z o.o.: represented a Poland-based mobile telecoms operator in a tap issuance involving a high yield bond offering of an additional €125 million of the Issuer's 5.25% Senior Secured Notes due 2019.
mBank S.A., DNB Bank Polska S.A. and ING Bank Śląski S.A.: represented the banks in connection with the €185 million refinancing of a leading manufacturer of wood-based products.
Aneta is recognized as an "Associate to Watch" by Chambers Europe 2017 and 2016. She was also listed by The Legal 500 EMEA 2014 in the Banking & Finance category.
