Representative experience includes advising:

Nomura International plc in connection with a £175 million bridge facility to finance the acquisition of the University of Law by Global University Systems group as well as an up to £20 million super senior credit facility for general corporate purposes. The bridge facility has been taken out by £234.4 million 8.000% senior secured notes due 2020, in connection to which we represented Nomura International plc as initial purchaser.

Third Point Hellenic Recovery as lender of a US$125 million loan to Energean International Limited as borrower and Energean E & P Holdings Limited as guarantor. The proceeds thereof were on-lent according to a back-to-back loan structure to Energean Oil & Gas SA as final borrower, a Greek oil-drilling company, for the acquisition of an oil rig and long-lead materials and the refinancing of its existing debt. We represented the initial lender.

Empark Aparcamientos y Servicios, S.A. as borrower with respect to a new €30 million super senior revolving credit facility, launched concurrently with a New York law-governed high yield bond offering of €235 million 6.75% senior secured notes due 2019 and €150 million senior secured floating rate notes due 2019. Empark Aparcamientos y Servicios, S.A. is the leading operator of car parks in Spain and Portugal, as well as having operations in England, Andorra and Turkey.

The lead arrangers on the amendment and restatement of a senior facilities agreement used as financing of Take-Private Acquisition by vehicles controlled by Advent International Corporation of Shares in Mediq B.V. (formerly Mediq N.V.), a Dutch-listed international provider of medical devices and pharmaceuticals.
