Overview

Carsten Rodemann advises clients in the areas of mergers & acquisitions and corporate law, in particular concerning corporate acquisitions and divestitures, restructurings as well as joint ventures.

He specializes in national and cross-border transactions (including auction processes) in the energy and real estate sector (portfolio transactions) as well as in privatizations.

Prior to joining White & Case in January of 2007, Carsten Rodemann worked in the mergers & acquisitions practice of another leading international law firm for several years.

Experience

Advising EnBW Energie Baden-Württemberg AG on the sale of a 24.95 percent minority shareholding in transmission system operator TransnetBW Gmbh (TransnetBW) to Südwest Konsortium Holding GmbH.

Advising German energy company E.ON on establishing a joint venture with Igneo Infrastructure Partners for the roll-out of high-speed broadband infrastructure in Germany. To this end, Igneo has acquired a 50 percent stake in Westenergie Breitband GmbH, a wholly owned subsidiary of E.ON SE.

Advising STEAG GmbH on the sale of 49 percent of the shares in its wind farm portfolio in France to an infrastructure fund of Allianz Global Investors. STEAG remains majority shareholder with 51 percent and continues to be responsible for commercial and technical management.

Advising a consortium consisting of STEAG and Macquarie in connection with the bidding process to acquire the lignite and hydroenergy operations of Vattenfall.

Advising Vattenfall GmbH on the sale of a 74.9 percent stake in Lauta and a 100% stake in Ruedersdorf, the Germany-based waste to energy power plants, to STEAG. The waste incineration capacity of both plants together amounts to 475,000 tons per year.

Advising Vattenfall GmbH on the outsourcing of the facility operations services in Germany including the sale of its subsidiaries VSG GmbH and Hanuman FO GmbH to ISS Facility Services GmbH, a subsidiary of the Danish company ISS Global A/S, as well as on the conclusion of a long-term service agreement regarding facility operations services.

Advising Vattenfall Europe AG on the sale of its subsidiary 50Hertz Transmission GmbH (50Hertz) to the Belgian transmission system operator Elia and to the Australian Industry Funds Management (IFM), one of the largest global infrastructure investment managers.

Advising Vattenfall Europe AG on the sale process of its majority shareholding in the regional energy supplier WEMAG AG (Schwerin) to the "Kommunale Anteilseignerverband der WEMAG" (association of municipal shareholders) and Thüga AG.

Advising Vattenfall Europe AG regarding the sale of its 24.9 percent share in Staedtische Werke AG, Kassel, to Thüga AG (the biggest German network of local energy suppliers).

Advising Vattenfall Europe AG regarding the sale of its 25 percent share in the Rostock hard-coal fired power plant to RheinEnergie AG, Cologne.

Advising Vattenfall Europe New Energy GmbH on the sale of its 85.5 percent majority shareholding in the waste incineration plant "Müllverwertung Borsigstraße GmbH" in Hamburg to Stadtreinigung Hamburg, the city's waste handling company. The sale price amounts to approx. €67million.

Advising Commerz Real AG on the restructuring of the Enervie wind farm portfolio.
