Overview

Dominika focuses her practice on corporate and civil law matters, as well as merger and acquisition transactions.

Dominika has provided corporate law advice in connection with M&A transactions, including due diligence exercises and preparation of transactional documentation. She also provides legal support in connection with other corporate law related issues, including corporate governance issues and legal analysis of commercial law.

Experience

Her recent experience includes:

Enterprise Investors: representation of Polish Enterprise Fund VIII (PEF VIII), a private equity fund managed by Enterprise Investors, in connection with the fintech acquisition, through a tender offer, of up to 100% of the shares in PragmaGO, a provider of financial services to the SME sector. PEF VIII secured the right to acquire a 72% stake from the majority shareholder Pragma Inkaso. An offer was made for a maximum value of EUR 11.9 million. Enterprise Investors intends to delist PragmaGO so it can continue its development in the private market.

 Valmet: representation of Valmet, the leading global developer and supplier of process technologies, automation and services for the pulp, paper and energy industries, on its acquisition of PMP Group, a Polish provider of technologies and services for the paper industry. Headquartered in Espoo, Finland, Valmet has more than 13,000 professionals globally. Its strong technology offering includes pulp mills, tissue, board and paper production lines, as well as power plants for bioenergy production.

Participation in other M&A transactions, including due diligence reviews and preparation of the relevant corporate and contractual documentation.

Assistance in the drafting of documents relating to initial public offerings.

Assistance in the drafting of management contracts and employment agreements for key employees of private companies.

Legal analysis of regulatory issues related to the pharmacy industry.

Prior to joining White & Case, Dominika gained experience in one of the leading law firms in Warsaw.
