Overview

Jamie Kershaw is an associate in the Global Mergers & Acquisitions Practice, based in Riyadh.

Jamie has extensive experience in advising clients on a broad range of corporate matters, including cross-border M&A, joint ventures, private equity and venture capital investments, and corporate restructurings. He is experienced at working across multiple jurisdictions and has worked across various industry sectors, including energy, healthcare and life sciences, industrial, sports and technology.

Prior to relocating to the GCC region, Jamie trained and qualified at an international law firm in London and is admitted to practice in England and Wales. As well as Riyadh he has also worked in Dubai, and during his time in the UAE, Jamie undertook a secondment to Emirates Global Aluminium (EGA), a joint venture between Mubadala Investment Company of Abu Dhabi and Investment Corporation of Dubai.

Represented Enersol, a joint venture between ADNOC and Alpha Dhabi Holding on its $225million acquisition of a 95% equity stake in Deep Well Services (DWS), a leader in lateral drilling through advanced technologies and services within the energy sector in the US.*

Represented Halal Product Development Company (HPDC), a PIF subsidiary, on an investment into Believe Pte Ltd, a global halal cosmetics company.*

Represented ACWA Power on its $693million acquisition of ownership interests in power generation, water, desalination and other associated O&M companies in Kuwait and Bahrain from Engie SA.*

Represented Aydin Group, one of the largest retail operators in Turkey, on the sale of a minority stake in the T.O.M. group of companies to Dubai Islamic Bank.*

Represented GFH Partners on the acquisition of an AED500million Dubai based logistics fund, Manrre REIT (CEIC) PLC.*

Represented TVM Healthcare on an investment into Boston Oncology Arabia, a Saudi-Arabian pharmaceutical manufacturer.*

Represented e& Capital on several investment rounds, including a series B investment into Traydstream Limited, a UK-headquartered leading provider of automated trade document scrutiny and compliance checking software.*

Represented Jadwa Investments, a leading Saudi Arabian investment management and advisory firm, on the acquisition of Dubai-headquartered food and beverage operator, Blackspoon Group. Blackspoon operates several major brands in the GCC region, including Allo Beirut and Ibn Albahr.*

Represented Franklin Templeton on the launch of its CMA-regulated Saudi Arabian operations.*

Represented Keyloop, a portfolio company of Francisco Partners, a technology-focused private equity firm, on Keyloop's acquisition of Automotive Transformation Group.*

Represented GLD Partners, LP, a Los Angeles based private equity firm and its portfolio company, Arabian Entertainment Company Limited (AEC), a leading a food, beverage and entertainment company in Saudi Arabia, on a definitive business combination agreement with Sagaliam Acquisition Corp, a special purpose acquisition company (SPAC).*

Represented Derayah Venture Capital Fund and SEEDRA on the series B funding round of Lendo, a Saudi Arabia based shariah-compliant debt crowdfunding marketplace.*

Represented Egis Engineering, a French-headquartered international construction and engineering company, on its acquisition of Omrania Group, a Saudi Arabian architecture and engineering consultancy.*

Represented AEX Gold, Inc. (now Amaroq Minerals), a mining and exploration company operating in South Greenland, on its AIM admission and fundraising to raise £42.5 million.*

Represented Confluence Technologies, Inc., a global software and data solutions provider in the investment management industry, and TA Associates, a leading global private equity firm and majority owner of Confluence, in signing a definitive agreement for Clearlake Capital Group, L.P. to acquire Confluence, with TA and Confluence management rolling over a minority equity stake.*

Represented Longboat Energy, a full-cycle, North Sea oil and gas company, in a fundraise, reverse takeover and farm-ins to assets owned by Norwegian state-owned energy company Equinor, Japanese petroleum company Idemitsu and European independent exploration and production company.*

Represented Action Hotels Plc on a takeover by scheme of arrangement.*
