Overview

Janko is a partner in the Firm's Nordic Private Equity group and part of the Global M&A team. Janko has over 20 years of experience, and he has led numerous cross-border transactions across Europe, Asia and the Americas. Janko works with leading Nordic and European private equity firms and their portfolio companies, international corporates, venture capital investors and technology and media companies.

Janko joined the Firm in 2002, and worked at the Stockholm office from 2003 to 2004, and again in 2012. Prior to joining White & Case, Janko worked as an in-house lawyer and at another law firm in Helsinki.

Experience

Representation of Supercell, the mobile game developer behind Hay Day, Clash of Clans, Boom Beach, Clash Royale and Brawl Stars, on its €25 million funding of Metacore, a Finnish game company.

Representation of Valmet, the leading global developer and supplier of process technologies, automation and services for the pulp, paper and energy industries, on its acquisition of PMP Group, a Polish provider of technologies and services for the paper industry with operations also in China, Italy and the United States.

Representation of HMD Global, the home of Nokia phones, on a funding round from some of its key global strategic partners with a first closing of US$230 million.

Representation of Highland Europe in Wolt’s €100 million round of funding. The round was raised from current investors, including ICONIQ Capital, Highland Europe, 83North and EQT Ventures, with Goldman Sachs’ Growth Equity team joining as a new investor. Wolt is a Finnish technology company known for its food-delivery platform.

Representation of mobile games company Dazzle Rocks in its funding round led by Galaxy Interactive, via its Galaxy EOS VC Fund, with additional participation by Spintop Ventures, Ken Lamb (Dazzle Rocks chairman and cofounder of Initial Capital), ByFounders, David Helgason, MTG, Sisu Game Ventures, and other investors from the company’s earlier financing rounds.

Representation of Andreessen Horowitz (known as "a16z"), a venture capital firm from Silicon Valley, California which invests in seed to late-stage technology companies, across the consumer, enterprise, bio/healthcare, crypto, and fintech spaces, and with over $10B in assets under management across multiple funds, in its investment in Mainframe Industries, a pan-Nordic gaming company with studios in Helsinki and Reykjavik. Riot Games co-invested with a16z, as did existing investors Maki.vc, Play Ventures, Sisu Game Ventures, and Crowberry Capital.

Representation of Evolver Equity, a Finnish private equity investor specialized in Nordic small-cap buyouts, on the acquisition of Arktis AS, Nolliplan AB and Micro Aided Design Oy in parallel transactions from private sellers. All three companies are specialized providers of open-source building information modelling (Open BIM) tools and solutions for architecture, engineering and construction industries. Through the transaction Evolver establishes a group that has a product portfolio, a range of competencies and a geographic footprint that enables provision of unique customer benefits and reinforces the companies' positions as market leaders within Open BIM market.

Representation of Accent Equity, a Nordic mid-market investor, on the acquisition of Lunawood from funds managed by CapMan and other shareholders. Lunawood is the global leader in thermally modified Nordic softwood, a sustainable and rapidly growing alternative to traditional building materials and a substitute for tropical hardwood in decorative surfaces. The company, headquartered in Lahti, Finland, has three production facilities in Finland, sales employees in Finland, Germany and France and representatives in Russia and China. The company's products are sold in 50 countries.

Representation of Alder, a Nordic investment fund, on the sale of Gasmet Technologies (Gasmet) to Nederman. Gasmet, founded in 1990, is the leading FTIR (Fourier Transform Infrared Spectroscopy) gas analyser and emissions monitoring system provider, with almost 30 years of FTIR experience. Gasmet develops, manufactures and markets gas analyzers and monitoring systems for a variety of industrial, environmental and safety applications.

Representation of Nordic Capital on the acquisition of iLOQ from Sievi Capital and other shareholders. iLOQ is a leading provider of self-powered digital and mobile locking systems which transform the way access to buildings is handled into a highly secure, functional and sustainable system, founded in 2003 and based in Oulu, Finland, with local branches in Sweden, Denmark, Norway, Germany, the Netherlands, France and Spain.

Representation of Metso Corporation, a world-leading industrial company offering equipment and services for the sustainable processing and flow of natural resources in the mining, aggregates, recycling and process industries, on the combination of Metso Minerals and Outotec Oyj under the name Metso Outotec, with the remainder of Metso, Metso Flow Control, becoming an independent separately listed company under the name Neles. The combination will be implemented through a partial demerger of Metso, in which all assets and liabilities of Metso that relate to Metso Minerals will transfer to Outotec in exchange for shares in Outotec to be issued to Metso shareholders. The combined company had illustrative combined sales of €3.9 billion in 2018 and approximately 15,600 employees and will maintain its listing on Nasdaq Helsinki.

Representation of Highland Europe in connection with its investment in Wolt, the Helsinki based food delivery service. Wolt's latest funding consists of two rounds, including a $130 million Series C led by ICONIQ Capital and a $30 million Series B led by 83North.

Representation of Metso Corporation, a world-leading industrial company offering equipment and services for the sustainable processing and flow of natural resources in the mining, aggregates, recycling and process industries, on its acquisition of Canadian mobile crushing and screening equipment manufacturer McCloskey International.

Representation of Rameder Group, a portfolio company of FSN Capital and a leading European distributor of tow bars, wiring kits and carrier systems, in the acquisition of the majority stake in Koukkupaja Oy, and Felox Finland Oy, a tow bars retail group with operations in Finland and Sweden.

Representation of Zynga Inc., a social game developer, on its acquisition of the Finnish mobile game developer Small Giant Games Oy. Under the terms of the deal, Zynga acquired 80 percent of Small Giant Games for US$560 million, and will purchase the remaining 20 percent over three years at valuations based on specified profitability goals. Zynga is responsible for developing well-known games, such as Words with Friends, FarmVille and CSR2 Racing. The acquisition brings to Zynga a talented team who created the hit mobile game Empires & Puzzles.

Representation of ÅF AB in its €611 million recommended public cash tender offer for all issued and outstanding shares in Pöyry PLC. Together with the shares acquired by ÅF through market purchases, the shares tendered during the offer period, including the subsequent offer period, represent approximately 99.3 percent of all the issued and outstanding shares and voting rights in Pöyry. ÅF is an engineering and design company within the fields of energy, industry and infrastructure, based in Europe and operating globally with net sales in 2018 of SEK 13,975 million. Pöyry is an international consulting and engineering company serving clients across power generation, transmission and distribution, forest industry, biorefining & chemicals, mining and metals, infrastructure and water and environment.

Representation of the European private capital group Metric Capital Partners LLP on the acquisition of Parmaco Oy, the Finland based company building and renting high quality buildings for schools, day care providers and nursing homes. The transaction is made through a consortium led by the European private equity firm Terra Firma and also includes the Hong Kong-headquartered investment firm Sun Hung Kai & Co Limited.

Representation of SYNLAB, a European market leader in laboratory services, on the acquisition of Yhtyneet Medix Laboratoriot Oy, Finland's leading private laboratory company, from Medix Laboratoriot Oy and Yhtyneet Laboratoriot Oy. SYNLAB is a porfolio company of the European private equity firm Cinven.

Representation of LeaseGreen Group Oy and its shareholders on a transaction whereby Hartwall Capital, the Hartwall family investment company, became a shareholder in the company. As part of the transaction, Hartwall Capital also invested new capital into the company.

Representation of Nordic Capital, a leading private equity investor in the Nordic region, and its portfolio company Luvata, on the sale of all operating divisions and facilities of the Luvata Group as four separate transactions in 2016 and 2017, with the Special Products Division being sold to Mitsubishi Materials Corporation, the Heat Transfer Solutions Division to Modine Manfacturing Company, the Asian Tubes operations to Zhejiang Hailiang Co. Ltd and the North American Tubes operations to an investor group.

Representation of Capgemini SA, one of the largest technology and outsourcing service providers globally, in the acquisition of a digital design and strategy company Idean Enterprises Oy.

Representation of Supercell Oy, a Finnish mobile games company, and the management/founding team, in the acquisition by Tencent Holdings Limited, one of China's largest and most used internet portals, of approximately 84.3% of Supercell equity securities for a consideration of US$8.6 billion, with put and call options for the rest of the equity securities over a four-year period.

Representation of Metso Corporation, a world-leading industrial company offering equipment and services for the sustainable processing and flow of natural resources in the mining, aggregates, recycling and process industries, in connection the sale of its Process Automation Systems (PAS) business to Valmet Corporation.
