His practice focuses on counseling clients through a variety of corporate and strategic transactions and related regulatory matters in the insurance industry. He advises insurance companies and insurance holding companies on a variety of transactions and related matters, including:
-Mergers and acquisitions involving insurers and HMOs;
-Indemnity and assumption reinsurance, and renewal rights transactions;
-Strategic alliances and joint ventures involving insurance business;
-Investment activities of insurers;
-Form A and other insurance holding company system issues;
-Non-controlling and minority investments in insurance holding companies; and
-Corporate governance requirements.
Jared has broad experience advising clients on the strategic design and implementation of captive insurance programs, including risk management, reinsurance arrangements and domicile analysis.
Jared represented Anthem, Inc., one of the nation's largest health benefits companies, in the acquisition of America's 1st Choice, a privately-held for-profit Medicare Advantage organization that offers HMO products in Florida and South Carolina.
Jared represented Anthem, Inc. in the acquisition of Aspire Health, Inc., the nation’s largest non-hospice, community-based palliative care provider.
Jared represented Anthem, Inc., one of the nation's largest health benefits companies, in the acquisition of HealthSun, one of the fastest-growing integrated Medicare Advantage health plans and healthcare delivery networks in Florida.
Jared represented Anthem, Inc., one of the nation's largest health benefits companies, in its proposed acquisition of Cigna Corporation, a combination valued at US$54.2 billion. Jared led the state regulatory approval process on behalf of Anthem.
Jared represented Sempra Energy (NYSE: SRE), a Fortune 500 energy services holding company, in its US$9.45 billion all-cash acquisition of Energy Future Holdings Corp., which indirectly owns 80% of Oncor Electric Delivery Company, LLC, an operator of the largest electric transmission and distribution system in Texas. The transaction, which created the largest utility holding company in the US, valued Oncor at US$18.8 billion. This transaction was named "M&A Deal of the Year" by The Deal in 2018.
Jared represented the private equity group Certares LP in the acquisition of Guardian Alarm, a leading provider of alarm and security guard services.
Representation of CNO in various reinsurance and related transactions, including the cession of a closed block of long-term care business to Beechwood.*
