Overview
Jarosław Fejdasz is a corporate lawyer focusing on mergers and acquisitions, private equity transactions, and corporate governance. He advises clients on both the buy-side and sell-side of complex cross-border and domestic deals, including joint ventures and corporate restructurings. He combines transactional expertise with a strong understanding of IP, technology, and data protection issues. The integrated approach allows him to manage IP assets and technology-related aspects throughout the transaction lifecycle, including structuring, negotiation, and post-closing integration.
Jarosław has advised clients across a range of industries, including technology, media and telecommunications, consumer goods, real estate, life sciences, energy, defense, and financial services.
Prior to joining White & Case, Jarosław gained experience in leading international and Polish law firms.
Experience
Mercor S.A.: representation of Mercor S.A., one of Europe's leading companies in passive fire protection systems, on the US$100 million sale of shares in its group companies to a subsidiary of Kingspan Group plc, a leading global manufacturer of building materials. The companies sold hold assets related to the operation of gravity smoke extraction systems, roof lighting systems and fire ventilation systems in Poland, Spain, the Czech Republic, Slovakia, the UK, Hungary, Ukraine and Romania.
Regnology Germany GmbH: representation of Regnology Germany GmbH, a leading global provider of regulatory reporting solutions, on the acquisition of 100% of the issued share capital of BR-AG P.S.A., a Polish provider of advanced RegTech and SupTech solutions.
Sport Alliance GmbH: representation of Sport Alliance GmbH, a portfolio company of PSG Equity, on the acquisition of Perfect Gym Solutions S.A. Sport Alliance GmbH is a Hamburg-based provider of software solutions and services to gyms and health facilities.
JSW Koks S.A.: representation of JSW Koks S.A. in the review of the financial agreements in connection with the construction of the power unit by Rafako S.A. w restrukturyzacji (in restructuring) and an impact of potential default on other finance documents in the JSW capital group.
Eurowag: representation of Eurowag, a leading pan-European integrated payments and mobility platform focused on the commercial road transportation industry, on its €306 million acquisition of Inelo from Innova Capital and other certain vendors. The acquisition is a Class 1 transaction under the Listing Rules.
Hanwha Aerospace: representation of Hanwha Aerospace on the framework contract signed with the Ministry of National Defense of Poland in 2022 for the supply of K9 self-propelled howitzers to the Polish army and the executive contracts.
