Experience

Representation of Bregal Milestone LLP, a leading European growth private equity firm, on the financing of its acquisition of SkySparc, a trusted global provider of digital transformation solutions for treasury and finance organizations. The secured acquisition financing package also includes additional facilities for the financing of future acquisitions and for general corporate and working capital purposes.

Representation of Koskisen Oyj, a Finnish wood processing company listed on Nasdaq Helsinki with more than a hundred years of operating history, in connection with a EUR 38,000,000 committed and EUR 40,000,000 uncommitted senior term and revolving facilities agreement with a club of commercial banks. The purpose of the financing is, among other things, (i) the refinancing of the existing EUR 37,000,000 senior term and revolving facilities agreement and (ii) general working capital purposes of the group.

Representation of Adelis Equity Partners Fund I AB, a Swedish private equity fund, on the secured financing for the acquisition of Retta Oy and Retta Ab, a leading property management group in the Nordics. In addition to the platform acquisition, the financing may be used for financing future M&A and general corporate and working capital requirements.

Representation of Nala Renewables Ltd, a global power and renewable energy investment platform, on the financing of its acquisition of Fu-Gen Energia I Oy together with a ready-to-build 50 MW Battery Energy Storage System located in Finland.

In April 2024, a consortium led by Apollo Global Management and Rettig Oy Ab, a Finnish family office with 61.8 percent ownership in Purmo, made a voluntary tender offer for shares in Purmo Group. In July, Haier Smart Home made a competing offer with a higher offer price. The deal value in Apollo’s bid was €456 million, whereas Haier’s bid was €577 million. In late July 2024, Purmo announced that despite Haier’s higher bid, Purmo’s board of directors had decided to uphold its recommendation for Apollo’s bid. The board of directors justified its decision by arguing that the risk of non-completion due to potential failure to obtain regulatory approvals for Haier’s bid did not seem to be material, but was not insignificant and was notably higher than in Apollo’s bid. In addition, Purmo’s board of directors noted that it had not received sufficient comfort from the major shareholders that would indicate their support for Haier’s bid. Eventually, the consortium gained ownership of more than 90 percent in Purmo.
