Jessica is an associate in the Energy, Infrastructure, Project and Asset Finance Practice. She regularly represents financial institutions, project sponsors, developers and corporate borrowers on cross-border lending transactions in Latin America, including project finance and corporate finance transactions. She advises project sponsors and developers on engineering, procurement and construction contracts in connection with infrastructure and energy assets.

Jessica also has experience advising issuers, investment banks and other market participants in Regulations S and Rule 144A issuance of equity and debt securities, private placements, and other international capital markets transactions.

Jessica has represented:

  • The placement agent, the lender and the initial purchasers in connection with the US$290,000,000 purchase and sale of notes issued by Matrix Renewables Chile SpA, the proceeds of which will be used to finance a 328 MW portfolio of PMGD projects in Chile.
  • Caramuru Alimentos S.A., one of the largest processing companies of soy, corn and sunflower in Brazil, in the structuring and implementation of its export securitization program of up to US$150 million. The transaction is in the form of a "secured export note" structured as a true sale of future receivables. From the initial issuance of secured export notes in the form of a private placement, Caramuru raised US$40 million.
  • Arroyo Energy Investment Partners on the financing for the acquisition by its investment vehicle, Inversiones Arco 4 SpA, of the shares of Gasmar S.A. from Empresas Gasco S.A. and Abastible S.A. (a wholly owned subsidiary of Empresas Copec S.A.).
  • The lenders in connection with a US$625 million revolving credit facility extended to a subsidiary of Natura Cosméticos S.A.
