Jonathan is a partner in our Corporate/M&A practice and focuses on mergers and acquisitions, joint ventures and general corporate matters. Having previously been based in our London office, Jonathan now shares his time between our Dubai and Riyadh offices.

Experience

Advising Alpha Bank S.A., the Greek systemic bank, in connection with the sale of its Albanian subsidiary, Alpha Bank Albania SHA, to OTP Bank Plc.

Advising the shareholders of IHS Holding Limited, one of the largest independent owners, operators and developers of shared telecommunications infrastructure, in connection with the largest ever initial public offering of an African company on the New York Stock Exchange, raising US$378 million for a total valuation of US$7 billion.

Advising A15 Holding Netherlands B.V. in connection with the sale of a majority interest in Connect Ads DMCC, a leading MENA provider of digital advertising, to Aleph Internet Media Services LLC, a leading global digital communications and marketing company.

Advising Goldman Sachs and the European Bank for Reconstruction and Development in connection with their proposed acquisition of a minority interest in DgPays, a Turkish digital payments business.

Advising TFI TAB Gida Yatirimlari A.S., a leading quick service restaurant operator in Türkiye and China, and its founder shareholders, Kurdoğlu family and their affiliates, in connection with the transfer of an additional 14.78% stake in TFI to Goldman Sachs, EBRD and Credit Suisse.

Advising Accelero Capital, an investment and management group with a particular focus on technology, digital media and telecommunications, on the sale of SUPERNAP Italia, a data centre developer, to IPI Partners, a private equity firm that invests in data centres and other technology and connectivity-related real assets.

Advising SIBUR Holding on the disposal of a 40 percent interest in Amur Gas Chemical Complex (Amur GCC) to China Petroleum & Chemical Corporation (Sinopec), China's leading energy and chemical company, within the JV deal. Amur GCC's budget is tentatively estimated at US$10 billion to US$11 billion and is subject to adjustments as the project progresses.

Advising the Abu Dhabi National Oil Company (ADNOC) in connection with the sale of a 40% stake in ADNOC Oil Pipelines to a consortium comprising KKR and Blackrock (named "M&A Deal of the Year" at the 2019 IFLR Middle East Awards).

Advising ADNOC in connection with the sale of a 5% stake in ADNOC Drilling to Baker Hughes (named "M&A Deal of the Year" at the 2019 IJGlobal Middle East Awards).

Advising PPF Real Estate, a European real estate developer and investor, in connection with the acquisition of the "Nevsky Centre" shopping mall in St Petersburg from Stockmann plc.

Advising Hines, a global real estate investment, development and management firm, and PPF Real Estate in connection with the acquisition of a "Class A" office building in Moscow from a real estate fund managed by Heitmann.

Advising Nordic telecoms operator Telia Company on the US$1 billion sale of its 19% stake in MegaFon, a leading mobile telecoms operator in Russia, to Gazprombank.

Advising Digital Realty, one of the world's largest data center providers, in connection with the US$874 million acquisition of 8 data centers in Amsterdam, Frankfurt and London from Equinix, and the US$212 million sale of a data center in Paris to Equinix.

Advising various shareholders in O3b Networks, a global satellite service provider, including HSBC Principal Investments, in connection with the US$730 million acquisition of approximately 50.9% of O3b Networks by SES S.A.

Advising VimpelCom, one of the world's largest integrated telecoms service providers, in connection with the merger of its subsidiary, Pakistan Mobile Communications Limited (Mobilink), a leading mobile network operator in Pakistan, with Warid Telecom (Warid), to create a combined entity serving over 50 million customers in Pakistan.

Advising VTB Capital on the VTB Group's US$3.55 billion acquisition of Tele2 Russia from Tele2 AB as a private equity investment.

Advising Capital Partners, a leading real estate developer in Russian, Kazakhstan and Türkiye, in connection with the sale of two "Class A" office buildings in in Moscow to a real estate fund managed by Hines (named "Deal of Year: Purchase-Sale" at the 2016 CRE Moscow Awards).

Advising Capital Partners in connection with the development, financing and subsequent US$1.2 billion sale of the Metropolis shopping centre to a Morgan Stanley Real Estate Fund (named "Deal of the Year – Purchase-sale" at the 2014 CRE Moscow Awards).

Advising Meridian Capital CIS Fund in connection with the US$1.1 billion sale of the Galleria shopping centre in St. Petersburg to a Morgan Stanley Real Estate Fund (named "Investment Deal of the Year" at 2012 CRE Moscow Awards).

Advising TeliaSonera on the US$8.5 billion shareholder restructuring of MegaFon and the simultaneous US$1.45 billion sale of TeliaSonera's indirect stake in MegaFon to AF Telecom.
