Biography

Joseph Del Vicario is an associate in the Firm's Americas M&A/Corporate Group, based in the New York office. His practice focuses on advising public companies, hedge funds, and investors on shareholder activism and corporate governance matters, including contested director elections, takeover defense and preparedness, and regulatory filings under Sections 13 and 16 of the Securities Exchange Act of 1934.

Sturm, Ruger & Co. and its board in connection with corporate governance matters and activist defense strategies.

Starboard Value LP in connection with its Exchange Act filings and numerous successful nominations and settlements at numerous public companies, including Fortrea Holdings Inc., Kenvue Inc., Qorvo, Inc., Algonquin Power & Utilities Corp., Alight, Inc., Bloomin' Brands, Inc., and Healthcare Realty Trust Incorporated.

Tractors and Farm Equipment Limited (TAFE) in connection with its Exchange Act filings and cooperation agreement with AGCO Corporation.

Findell Capital Management in its multi-year engagement, proxy campaign and settlement at Oportun Financial Corporation, resulting in the addition of three Findell nominees to Oportun's board and the declassification of the board.
