Representation of Bank of China, The Export-Import Bank of China, Shandong Branch, and Heze Branch of Evergrowing Bank Co., Ltd. in connection with the financing of the construction and development of a methanol plant by Yuhuang Chemical, Inc. to be located in St. James Parish, Louisiana.

Representation of BNP Paribas, as lender and administrative agent, in connection with the US$415 million acquisition financing to Spruce Generation Funding, LLC, a subsidiary of LS Power Equity Partners III, L.P., for the purchase of two natural gas-fired electric generating plants located in Ohio and Pennsylvania from Dynegy, Inc.

Representation of Saudi Arabian Oil Company and its affiliates ("SAOC") in connection with the separation and distribution of assets of Motiva Enterprises LLC, the U.S. refining joint venture operated by SAOC and Royal Dutch Shell ("Shell"). Pursuant to the transaction, SAOC will make a US$2.2 billion balancing payment, split between debt and cash and subject to adjustments including working capital. SAOC will take control of the Port Arthur Refinery, along with 24 terminals. Shell will get the Norco and Convent Refineries, along with 11 terminals. Under the agreement, Motiva will have the exclusive right to sell Shell-branded gasoline and diesel in Georgia, North Carolina, South Carolina, Virginia, Maryland and Washington, D.C., as well as the eastern half of Texas and most of Florida. Shell’s markets will be Alabama, Mississippi, Tennessee, Louisiana, a portion of the Florida panhandle, and the Northeastern region of the U.S.
