Karen Young is an associate in the New York office of White & Case LLP, and a member of the Firm's Capital Markets Practice. Karen’s practice focuses on securities transactions, securitizations, structured finance and general corporate representations.
Karen represents issuers and underwriters in debt and equity securities transactions, including commercial fleet securitizations, collateralized loan obligation issuances, registered offerings, Rule 144A offerings and Regulations S offerings. Additionally, she counsels public companies on disclosure issues, periodic filing and corporate governance practices.
Representation of Chesapeake Funding II LLC, a newly formed special purpose vehicle subsidiary of Element Financial Corporation, a leading fleet management services provider in the United States and Canada, in the issuance and sale under a newly established asset-backed securitization program of approximately US$3.2 billion of notes.
Representation of Morgan Stanley, Deutsche Bank Securities and Credit Suisse, as joint book-running managers, and Barclays, BofA Merrill Lynch and Jefferies, as co-managers, in connection with the US$718.5 million secondary offering by SS&C Technologies Holdings, Inc., a leading provider of cloud-based services and software for the global financial services industry, in connection with financing for its acquisition of Advent Software, Inc. for total acquisition consideration of approximately $2.63 billion (including the assumption of Advent's existing debt).
