(NASDAQ: KRNT) in connection with a follow-on offering raising US$169.5 million in primary proceeds, including the exercise in full of the underwriters' option to purchase additional shares, and US$95.5 million in secondary proceeds for the account of Amazon.com, Inc. as selling shareholder pursuant to the exercise of a warrant granted by Kornit. Kornit granted a new warrant to an affiliate of Amazon concurrently with the launch of the offering.
Represented CM Life Sciences, Inc. in its US$442.750 million initial public offering.
Represented FS Development Corp. in its US$120.750 million initial public offering.
Represented Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC and Allen & Company LLC as managing bookrunners, on Lemonade, Inc.'s US$367 million initial public offering on the New York Stock Exchange. Lemonade offers homeowners and renters insurance in the United States, and contents and liability insurance in Germany and the Netherlands, through its full-stack insurance carriers.
Represented J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and RBC Capital Markets, LLC, as joint lead bookrunning managers and Citigroup Global Markets Inc., HSBC Securities (USA) Inc. and MUFG Securities Americas Inc. as bookrunners in the inaugural notes offering by Amdocs Limited of US$650 million aggregate principal amount of 2.538% Senior Notes due 2030. Amdocs Limited is a provider of software and services for more than 350 communications, Pay TV, entertainment and media industry service providers, and has 25,000 employees in 85 countries worldwide.
Represented Saudi Arabian Oil Company (Saudi Aramco) on its US$25.6 billion initial public offering, which is the largest initial public offering to date. Saudi Aramco is the world’s largest integrated oil and gas company. The offering was significantly oversubscribed and at listing Saudi Aramco’s valuation was US$1.7 trillion.
Represented the Tel-Aviv Stock Exchange, the only securities exchange in Israel, in connection with the Rule 144A/Regulation S component of its initial public offering and listing of ordinary shares on the Tel-Aviv Stock Exchange. The offering raised approximately NIS 225 million in proceeds for the selling shareholders. The IPO was only the second Israeli public offering listed in Tel Aviv and marketed internationally pursuant to Rule 144A.
