Biography

Marianna Galusová is a local partner in our Global M&A Practice with a strong focus on M&A, corporate and real estate matters.

Alongside her transactional work, Marianna co-leads advisory on investment fund formation and related regulatory matters (including in the real estate segment) and provides ongoing corporate advice to a number of major international and Czech clients. She has advised on formation and regulatory matters of most of real estate investment fund clients of Prague office, as well as on some of the most important and landmark real estate transactions in the Czech Republic in the past years.

Marianna provides legal services in Czech, Slovak, English, and French, and partially also in Italian. She leads a team providing advice to francophone clients within Prague office.

Experience

Marianna has advised, among others, the following clients:

Ali Group, the largest and most diversified global leader in the foodservice equipment industry, on its acquisition of JIPA, a Czech Republic-based manufacturer of advanced electrical multifunctional devices for commercial kitchens, from its founders.

Datalogic, a world-class producer of bar code readers, mobile computers, sensors, vision and laser marking systems, in its acquisition of PEKAT, a Czech software company that develops proprietary machine and algorithm learning for application in supply chains and industrial automation.

shareholders of Wendell electronics, a Czech producer of custom electronics, in the sale of 100% of their shares in the company to BB Electronics, a leading supplier of electronics manufacturing, EMS services, based in Denmark.

ARX Equity Partners, a private equity firm focusing on the growth of mid-sized companies in Central Europe, in its acquisition of Nutricia Deva, a Czech Republic based producer of baby fruit desserts and fruit drinks.

Euromedic, the largest pan-European medical services provider, and their Czech subsidiaries, on a wide range of corporate matters.

P3 Logistic Parks (P3) and leading global investment company TPG Real Estate, on the sale of P3 to GIC, a sovereign wealth fund established by the government of Singapore. With a transaction value of EUR 2.4 billion, this represented the largest real estate deal in the Czech Republic.

CTP, a leading commercial real estate developer and manager of business parks in Central & Eastern Europe, on the EUR 450 million sale of a Czech logistics portfolio to Deka Immobilien, one of the largest-ever real estate transactions in the Czech Republic.

TPG Capital and Ivanhoe Cambridge portfolio company PointPark Properties (P3), owner, developer and manager of European logistics properties, in the EUR 523 million purchase of a Czech logistics portfolio from two funds advised by Tristan Capital Partners and VGP. The acquisition is one of the largest single logistics transactions by value in Europe of the past ten years.

Shinhan Investment Corporation, a Korean based investment manager, advised by Mint Investments, one of the leading real estate investors in Czech Republic and Slovakia, in connection with the acquisition of Florenc Office Center, an A class office building in Prague and the headquarters of KPMG in the Czech Republic, from ZFP Investments, a Czech real estate fund. The transaction was the first direct real estate investment in the Czech Republic by a Korean investor.

Erste Group Bank, Česká spořitelna, UniCredit., UniCredit Bank Czech Republic and Slovakia, Société Générale and Komerční banka as mandated lead arrangers in connection with syndicated financing provided to CTP Group, one of the largest industrial developers in the CEE region, for the purposes of refinancing the existing financial indebtedness of certain property companies within CTP Group that operate logistic parks in the Czech Republic. At an amount of EUR 1.9 billion, this is one of the largest real estate financings in the CEE region.
