Biography
Moustafa is an associate based in Cairo. Before joining White & Case, Moustafa worked as an associate for a top-tier law firm in Cairo in Corporate and M&A departments, as well as Project Finance.
Moustafa advised Egyptian and international clients in connection with general corporate matters and transactions including petrochemicals, renewable energy, healthcare, education, media services and agriculture, and structuring both local and cross-border acquisitions.

Transactions:
Represented Two Point Zero Group, a subsidiary of International Holding Company (IHC), in launching a voluntary tender offer to acquire a significant minority stake in Elsewedy Electric Company a listed company on the EGX, for around USD 450 million.
Represented a leading Abu Dhabi holding company and ADNEC on the acquisition of 40.5% stake in the ICON Group, a leading Egyptian hospitality company owned by TMG, for USD 880 million.
Represented Ora Developers B.V. in connection with the subscription by Chimera Capital (an Abu Dhabi-based private investment firm) in a primary issuance of shares by Gemini Global Development Egypt (GGDE) with a total investment of US$ 100 million.
Represented Orascom Construction S.A.E and the minority sellers in relation to the sale of 100% of the issued share capital of United Paints and Chemicals S.A.E.
Represented Riyadh Cables on its SAR 1.4 billion/USD 378.4 million on the Main Market of the Saudi Stock Exchange.
Represented Egypt Education Platform in relation to its acquisition of a majority stake in Selah El Telmeez, the famous 60 years old legacy K-12 education brand.
Represented ABB AG, a leading global technology company with a focus on electrification, robotics, automation and motion businesses, on the separation of Accelleron (formerly ABB Turbocharging), a global leader in turbocharging technologies and optimization solutions for 0.5 to 80+ MW engines with a presence in 50 countries, from the ABB group in preparation of its US$2.7 billion spin-off and listing on SIX Swiss Exchange.
Represented Spark Education Platform, managed by EFG Hermes Private Equity, on its acquisition of Qimam El Hayat International School in Riyadh.
Represented Al Ahly Capital on an investment in Dawi, a leading clinics operator in Egypt.
Represented OCI Construction Egypt S.A.E. and the minority shareholders in the sale of 24.3% from SCIB.
Represented Amer Group Holding Co., on their development and joint venture agreement with Marriott.
Represented QatariDiar in restructuring their business activities in Egypt.
Represented Palm Hills with the negotiations and drafting of a hotel management agreement and residence service agreement to be entered into with the Marriott.
Represented Amazon on several corporate and commercial matters.
Represented Mubadala's US$580m in acquisition of Kelix bio, a leading pharmaceutical group from the EBRD, British International Investment, and Development Partners International.
Represented Alcazar Energy in connection with the acquisition of Delta for Renewable Energy.*
Represented Alcazar Energy Egypt Solar 1 S.A.E., Aten Solar Energy S.A.E., Delta for Renewable Energy S.A.E, Horus Solar Energy S.A.E. each in connection with the financing of the design, development, construction, testing, commissioning, operation and maintenance of a 50MW solar photovoltaic power plant under the Feed-in Tariff programme (round 2).*
Represented Al Rehab for Securitization S.A.E in connection with two bond issuances; in each case, conducted legal due diligence on the portfolio, drafted the transaction documents and prospectus required for the issuance and listing of the bonds on the Egyptian Exchange.*
