Biography

Nick Matthew is a partner in our Global M&A practice based in London, focusing on Private Equity.

Nick advises US and European private equity sponsors, strategic investors and portfolio companies on acquisitions, disposals, joint ventures, co-investments and restructurings. 

Nick completed a 12 month secondment in his prior law firm's New York office from March 2019 to February 2020 and also completed a 12 month secondment at Bain Capital from September 2024 to August 2025.

  • Representation of Bain Capital:
    • on its sale of Zellis, valuing Zellis at €1.25 billion;*
    • and its portfolio company Zellis on the acquisition of Benefex;* and
    • on its acquisition of NGA UK, a UK payroll and HR business from NGA Human Resources.*
  • Representation of Bridgepoint:
    • on its acquisition of Fera Science, a national and international centre of excellence for interdisciplinary investigation and problem solving across plant and bee health, crop protection, sustainable agriculture, food and feed quality and chemical safety in the environment;*
    • on its acquisition of SK AeroSafety Group, a global leader in aviation safety component maintenance, repair and overhaul services;*
    • on its acquisition of Achilles, a supply chain risk and performance management business;*
    • on its investment in digital marketing agency IDHL;* and
    • its portfolio company HKA on the acquisition of The Kenrich Group.*
  • Representation of Intermediate Capital Group:
    • on its investment into Law Business Research;*
    • on its sale and reinvestment into IRIS Software Group, a leading global provider of mission-critical software and services in accountancy, payroll, HR and education. The investment represented one of Europe's largest software buyouts for 2023, valuing IRIS at an Enterprise Value of around £3.15 billion;*
    • on its sale and reinvestment into Visma, a leading provider of mission-critical cloud software in Europe and Latin-America, valuing Visma at €19 billion;* and
    • on an investment in Visma by Aeternum Capital, Government Pension Fund Norway (Folketrygdfondet), Vind, GIC and certain existing institutional investors.*
  • Representation of Astorg:
    • on the demerger of Fastmarkets from Delinian, formerly known as Euromoney Institutional Investor plc;* and
    • on its acquisition of the Fastmarkets business division of Euromoney Institutional Investor, as part of a £1.61bn acquisition of the financial publisher of Euromoney by Astorg and Epiris.*
  • Representation of EQT on its consortium acquisition of Nord Anglia Education, valuing the business at US$14.5 billion.*
  • Representation of GHO Capital:
    • on its acquisition (alongside the existing Envision management team and employees) of a majority stake in Envision Pharma Group, a leading technology-enabled scientific communications company;*
    • and its portfolio company Envision Pharma Group on the acquisition of Two Labs, an industry-leading provider of integrated and customized commercial solutions to the pharmaceutical and biotechnology sector;* and
    • its portfolio company Envision Pharma Group on the acquisition of OKRA.ai, an award-winning technology company active in the provision of artificial intelligence (AI) solutions for the healthcare industry.*
  • Representation of American Industrial Partners on the disposal of CR Mining, a manufacturing company in the mining industry.*
  • Representation of Inflexion and other shareholders (including the management team) on the sale of Reed & Mackay, a premium corporate travel management and events business, to TripActions, a U.S.-headquartered business travel and spend management platform.*
  • Representation of SC Health Corp., a special purpose acquisitions company, in its proposed merger with Rockley Photonics, Ltd, a leading integrated photonics chipset developer and module supplier for high-volume sensor and communication products.*
  • Representation of TPG Capital:
    • its portfolio company Entertainment Partners on the acquisition of We Got POP Ltd*; and
    • its portfolio company Beaver-Visitec on the acquisition of PhysIOL Group SA*.
  • Representation of the founder sellers on their sale of the Cathelco Group to the Bridgepoint-backed Evac Group*.
  • Representation of Reed Mackay, an international travel management company, on its acquisition of Hillgate Travel*.
  • Representation of CCMP on the £600million sale of Pure Gym *.
  • Representation of Profile Capital Management on its acquisition of Little Dish, a UK-headquartered children’s food business*.
