Dr. Peter Rosin
Peter Rosin advises on all areas of energy law. He is one of the most recommended energy lawyers in Germany with more than 20 years of experience. He has been involved in many important deals, legal proceedings and discussions in the German energy sector with his drafts being the basis for parts of the new German Energy Act.
Prior to joining White & Case, Peter led the German energy practice group of another renowned international law firm in Düsseldorf and was also Global Head of Power at that firm. Furthermore, he worked successfully in the German energy sector in various prominent positions.
Since 2006, Peter has been in the leading role of a variety of energy transactions such as the BEB transaction, the Amprion purchase by Commerz Real, the Süwag AG auctioning process (by RWE), the purchase and financing of E.ON Mitte AG by a consortium of municipal shareholders and most recently, the sale of shares in STEAG Fernwärme by STEAG. Additionally, Peter has long-standing experience in creating new investment structures and managing large legal proceedings and arbitration proceedings as well as acting as an arbitrator for lawsuits relating to energy issues.
Advising STEAG GmbH on the sale of a 49 percent stake in STEAG Fernwärme GmbH to MEAG, the asset manager of Munich Re and ERGO, as well as on the signing of a shareholders agreement. With this partnership, STEAG wants to strengthen its district heating business.
STEAG and Macquarie
Advising STEAG and Macquarie in the bidding process to purchase the German lignite and hydro energy sectors of Vattenfall, including comprehensive mining law verification. Transactional, strategic and regulatory advice on bidding for the entire lignite and hydro businesses from Vattenfall in Germany (multibillion transaction including comprehensive mining law verification).
Advising STEAG GmbH on the sale of 49 percent of the shares in its wind farm portfolio in France to an infrastructure fund of Allianz Global Investors. STEAG remains majority shareholder with 51 percent and continues to be responsible for commercial and technical management.
STEAG GmbH and Bejing Capital Group Consortium Bid for EEW Energy, 2016
We represented a consortium consisting of STEAG GmbH and Bejing Capital Group in connection with the bidding process to acquire EEW Energy from Waste GmbH (EEW), the market-leading energy-from-waste company in Germany, from private equity investor EQT. We advised the consortium regarding the bidding procedure, due diligence, SPA negotiations, financing and merger control procedure. In the end, EQT has reached an agreement in principle to sell EEW to the competing bidder, Beijing Enterprises Holding, for approximately €1.4 billion.
Gas industry pricing issues*
Peter advised RWE, EnBW and a number of municipal utilities on gas price adjustments, standard terms and conditions, consumer protection and litigation regarding related payment claims.
Energy industry acts and ordinances*
Acting for major utilities, Peter drafted a number of acts and ordinances for lobbying purposes (Amendments to the Energy Industry Act 2005 and 2011, and ordinances on incentive regulation and grid fee regulation and the Renewables Act).
Grid fee regulation proceedings*
Peter advised RWE, EnBW, Vattenfall Europe and various municipal utilities on proceedings related to grid fee regulation and corresponding appeal proceedings, including before the Federal High Court and the Federal Constitutional Court.
Energy-related litigation and arbitration proceedings*
Acting as lawyer and arbitrator, Peter advised on various litigation and arbitration proceedings for PSCs concerning energy related issues.
Acquisition and financing of majority stake in E.ON Mitte AG*
Peter advised a consortium of municipal shareholders on the purchase and financing of a 73.3 percent stake in E.ON Mitte AG from E.ON for approximately €610 million.
Intended acquisition of Open Grid Europe*
Peter advised a consortium comprised of Allianz, CPPIB and Gasunie on the intended acquisition of gas transmission system operator Open Grid Europe from E.ON.
Acquisition of majority stake in Amprion*
Peter advised Commerz Real on the acquisition of a 74.9 percent stake in power transmission system operator Amprion from RWE.
Acquisition of shares in Thüga AG*
Peter advised the bidding consortium Kom9, comprised of almost 50 municipal players, on the acquisition of shares in Thüga AG from E.ON AG.
