Biography

Ryan is an associate in the Capital Markets group and represents clients on a broad range of capital markets transactions, including acquisition financings and both debt and equity offerings. Ryan also advises public companies on ongoing compliance obligations under U.S. securities laws, the requirements of the major U.S. stock exchanges, responses to Rule 14a-8 shareholder proxy proposals, and other complex corporate governance matters.

He maintains an active pro bono practice, with a focus on civic engagement, nonprofit governance, and voting rights.

Prior to joining White & Case, Ryan worked as an aide in the Obama-Biden administration, for a leading technology company, and on several state and national political campaigns.

Ryan received his J.D./M.B.A. from the University of Michigan. While in law school, Ryan served as a law clerk to the Governor of the State of Michigan.

  • Bel Fuse Inc. on its equity follow-on offering of 1,725,000 shares of its Class B common stock.
  • Talen Energy Supply on its issuance of U$1.50 billion in aggregate principal amount of 6.125% senior notes due 2031 and US$2.5 billion in aggregate principal amount of 6.375% senior notes due 2033.
  • Talen Energy Corp. on its US$3.45 billion acquisitions of the Waterford Energy Center and Darby Generating Station in Ohio, and the Lawrenceburg Power Plant in Indiana from Energy Capital Partners.
  • GameStop Corp. on the granting of a performance-based stock option award to Chief Executive Officer Ryan Cohen. The total award includes approximately 171.5 million options granted with an exercise price of US$20.66, which vest if certain milestones are reached with respect to market capitalization and cumulative performance EBITDA.
  • dMY Squared Technology Group, Inc. a special purpose acquisition company, on its definitive business combination with Horizon Quantum Computing Pte. Ltd. ("Horizon"). The transaction, which included a private placement transaction of approximately $108 million, values Horizon at approximately $508.3 million.
  • TotalEnergies SE in respect of issuance of US$1,500,000,000 4.248% Guaranteed Notes Due 2031, US$1,250,000,000 4.569% Guaranteed Notes Due 2033 and the US$750,000,000 4.857% Guaranteed Notes Due 2036 by TotalEnergies Capital USA, LLC guaranteed by TotalEnergies SE. The proceeds from the offering will be used to repay certain outstanding intercompany indebtedness of TotalEnergies Capital USA, LLC. TotalEnergies SE is a leading global integrated energy company based in Paris, France.
  • Representation of the initial purchasers in connection with the offering by EZCORP, Inc. of US$300,000,000 of its 7.375% senior notes due 2032. The proceeds from the offering will be used to repay EZCORP, Inc.’s outstanding 2.375% convertible senior notes due 2025 at maturity and the remainder for general corporate purposes. EZCORP, Inc. is a leading provider of pawn services in the United States and Latin America.
