Sam Tuttleman is an associate in the Firm's Mergers & Acquisitions practice, and is resident in our Chicago office. Sam represents companies and private equity firms in connection with various corporate transactions, as well as general corporate counseling and governance. Sam focuses his practice on representing strategic and financial buyers and sellers in transactions including mergers, stock and asset acquisitions, divestitures and restructuring, in a broad variety of industries.

Representative matters include the representation of:

VPC Impact Acquisition Holdings III, Inc. (NYSE: VPCC), a SPAC sponsored by Victory Park Capital, in its US$4 billion business combination with Dave Inc., a financial platform.

Sempra Energy, one of North America's leading energy infrastructure companies, in its US$3.37 billion sale to KKR of a non-controlling, 20 percent interest in Sempra Energy's new business platform, Sempra Infrastructure Partners, which integrates Sempra LNG, a leading developer of liquefied natural gas export infrastructure with IEnova (Infraestructura Energetica Nova, S.A.B. de C.V.), one of the largest private energy companies in Mexico. The transaction values Sempra Infrastructure Partners at approximately US$25.2 billion, including expected asset-related debt at closing of US$8.37 billion.

dMY Technology Group, Inc. (NYSE: DMYT), a SPAC, in its US$1.78 billion business combination with Rush Street Interactive, LP, a US-based online casino and sports betting company.

Galaxy Digital Capital Management LP, a global investment management company focused on digital assets, in a series of investments, including: 

  • Its investment in Good Money Group, LLC, a digital banking platform providing banking and financial services; and 
  • Its investment in Mythical Games, Inc., the operator of a game technology studio that develops a line of blockchain-based personal computer, mobile, and console games.

Alliant Insurance Services, one of the nation's largest specialty insurance brokerage firms, and Stone Point Capital LLC, a leading private equity firm investing in numerous sectors within the global financial services industry and one of Alliant Insurance Services' largest investors, in a preferred equity offering to various co-investors and a preferred equity repurchase from Alliant Insurance Services' majority preferred equity holder. 

Intermediate Capital Group plc, a global alternative asset manager, in connection with a US$60 million second lien credit facility, consisting of US$37 million of initial term loans and US$23 million of delayed draw term loans, in part to finance the acquisition of Utimus Fund Solutions and The Gemini Companies by the sponsor, GTCR. 

Investindustrial VI L.P., a leading European private equity firm, in the acquisition of Jupiter Holding I Corp., a global manufacturer of premium spas, swim spas, whirlpool, soaker and walk-in bathtubs, and related bathroom products and accessories, operating under such brands as Jacuzzi®, Sundance®, Dimension One Spas®, Hydropool®, ThermoSpas®, and BathWraps®, from investment funds affiliated with Apollo Global Management, LLC, Ares Management Corporation, and Clearlake Capital Group, L.P. 

Cobepa S.A., a Belguim-based privately-held investment company, in connection with its acquisition of BioAgilytix Labs, LLC, a leading provider of large molecule bioanalytical testing services. 

Victory Park Capital, a leading private equity firm focused on emerging and established businesses across various industries in the U.S. and abroad, in numerous transactions.

Monroe Capital, a private credit asset management firm specializing in direct lending and opportunistic private credit investing, in multiple transactions.

SoftBank Vision Fund in its investment in Energy Vault, a startup using ground-breaking technology to facilitate long term energy storage based in Switzerland.

Vista Equity Partners, a leading private equity firm focused on software, data, and technology-enabled businesses, and its affiliates, in numerous transactions, including: 

  • The joint venture with Bain Capital in the merger of four innovative software businesses: Superion, TriTech Software Systems along with Zuercher Technologies, and the public sector and healthcare business of Aptean; and

  • The acquisition of Malauzai, a provider of mobile and Internet banking solutions for community financial institutions, by Finastra, a portfolio company of Vista Equity Partners.

Clearlake Capital, a leading private investment firm, in its joint venture with Vista Equity Partners in EagleView Technologies, a leading provider of aerial imagery and property data analytics.
