Santiago Puente is a corporate lawyer who specializes in securities transactions and providing advice on financial-regulatory matters to national and international clients, including issuers, banks, broker-dealers, investment funds, asset managers, pension funds, Fintech companies, startups and other commercial corporations.

His recent professional experience has been strongly focused on issuances and public offerings of securities through Mexican trusts (such as CERPIs, CKDs, FIBRAs, FIBRAs-E and ETFs)—sponsored both by local and global players seeking to raise capital from Mexican institutional and sophisticated investors—and on structuring innovative vehicles for private financings and investments in a wide array of economic sectors.

Santiago has also worked extensively on regulatory processes for the incorporation, acquisition and merger of different financial entities. He continuously advises several participants in the stock market and foreign financial service providers looking for a presence in Mexico. Most recently, he was an active legal advisor for clients on virtual assets' regulations.

Xepelin's US$140 million Structured Finance with Goldman Sachs, 2022
Santiago represented Xepelin, one of the largest originators in Chile, and its Mexican subsidiary, in a structured finance of up to US$140 million granted by Goldman Sachs. Under this structure, the borrower is a special purpose trust created by Xepelin, and is secured through eligible receivables originated by Xepelin Mexico that are transferred to the Trust;

Public tender offers, 2021-2022
He was part of the legal team that advised domestic and international companies, as well as underwriters in the completion of various public tender offers of shares listed on the Mexican Stock Exchange.

Initial public offering, 2020
He was part of the legal team that advised the first initial public offering of shares listed on the Institutional Securities Exchange.

First Mexican Technology ETF, 2020
He advised a domestic asset manager in the structuring and launch of the first mexican technology ETF focused on technology companies listed on the SIC.

First international CERPIs in the market, 2018-2019
He was part of the legal team that advised various domestic and international asset managers in the issuance and offering of the first CERPIs in the market focused on international investments.
