Sofía Duclaud joined White & Case in 2013. Her practice is mainly focused in the areas of mergers and acquisitions, financing, restructuring, with particular experience in the aviation and telecommunications sectors as well as general corporate mattters. Sofia also has experience in equipment leasing and aviation matters.
Sofia's experience also includes transactions related to aviation law involving procedures before the General Department of Civil Aviation and the Mexican Aeronautic Registry, as well daily advice in connection with the above matters.
Represented Scotiabank Inverlat, as administrative agent, sole lead arranger, security agent and lender in a US$ 90 Million syndicated fixed asset loan facility granted to Ragasa Industrias and Ragasa Inmuebles, one of the leading producers of cooking oil and other related products in Mexico under the brand "Nutrioli" among others. The facility involves an initial disbursement of US$30 million, with the possibility to increase the facility for an additional amount of up to MXN$ 987 Million (US$60 Million). The proceeds of the loan will be used to build a new Refinery Plant and Mill, assets that have been granted as security for the loan.
Represented The Bank of Nova Scotia (Scotiabank Inverlat) as administrative agent and lender in a MXN 800 million (US$60 million) syndicated facility granted to Centennial TWR México, and in a concurrent facility (through Colpatria) of US$8 million to Centennial Colombia. Both borrowers are private companies providing lease space in sites for the installation of telecom antennas and other transmission equipment. The borrowers' primary customers are the major telephone carriers. The proceeds of the loans will be used to refinance existing debt, finance the acquisition of new sites and fund working capital.
Represents AWAS as lessor in the operating lease and deregistration of seven Boeing 737-300 aircraft to VivaAerobus (Aeroenlaces Nacionales, S.A. de C.V.), a Mexican low-cost carrier, participating a in the registration process of the financing and lease documentation with the Mexican aeronautic authorities including and advice to the implementation of numerous engine swaps with respect to the aircraft on lease to VivaAerobus.
Represented Pro MDF a wholly-owned subsidiary of Proteak Uno one of Latin America's largest forestry companies focused mainly in manufacturing and exporting teak wood products, as borrower, in connection with the €68 Million loan facility, which is supported by a guarantee provided by Proteak Uno which is in turn secured by Eurler Hermes Deutschland AG, acting on behalf of the Republic of Germany. The proceeds of the loan will be used to finance up to 85% of the goods supplied and services rendered by Dieffenbacher, including sale of an EVOjet Gasturbine, Glue Farm and Short Cycle Line and installation, start-up, commissioning and optimization services of the such asset.
Sofía was part of the team which acted as Mexican counsel for Banorte Ixe and Santander, as lead underwriters in the local primary initial shares offering of Grupo Hotelero Santa Fe, for an aggregate amount of MXN 750 million (approximately US$60 million). The shares were publicly offered in Mexico through the Mexican Stock Exchange. The proceeds of the offering will be used to continue developing the hotel business of the issuer's subsidiaries, which currently operate 10 hotels under the trademark "Hilton" and owned trademark "Krystal." This was the first IPO for 2014 in the local market.
Represented Blockbuster L.L.C., a wholly owned subsidiary of DISH Network Corporation, in connection with the sale of its Blockbuster subsidiary in Mexico, Blockbuster de México, to certain affiliates of Mexican conglomerate Grupo Salinas. The transaction included an intellectual property license from Blockbuster L.L.C. to Grupo Salinas for the Blockbuster brand in Mexico.
