Biography
Overview
Spencer is an associate in the Debt Finance practice of White & Case's New York office. His practice focuses on the representation of major commercial banks, investment banks, private equity sponsors and corporate borrowers in connection with secured and unsecured syndicated credit facilities, primarily in the context of domestic and global leveraged acquisition financings. Spencer also has experience advising investment banks in connection with initial public offerings, whole business securitizations and collateralized loan obligations.
Experience
Representation of the administrative agent and lenders in connection with the issuance of US$1.54 billion in term loans and revolving credit loans to a computer network security company.
Representation of the administrative agent in connection with a credit facility providing for $910 million in USD term loans and €1.01 billion in EUR term loans to a design and development enterprise software company.
Representation of a major private equity sponsor in connection with an incremental amendment to upsize its existing US$650 million credit facility.
Representation of Talen Energy Corporation on US$175 million strategic partnership to fund infrastructure development in conjunction with nuclear power plant and "Nautilus Cryptomine" bitcoin mining facility.
